SILVERCREEK AMATEUR RADIO ASSOCIATION
BY-LAWS

ARTICLE I
DUTIES OF OFFICERS


SECTION 1. It shall be the duty of the president to preside
at all meetings of this club and conduct the same according
to the rules adopted. The president shall enforce due
observance of the constitution and these by-laws, decide all
questions of order, sign all official documents that are
adopted by the club, and perform all the duties usually
pertaining to the office of president.

SECTION 2. In the absence or disability of the president,
the vice-president shall perform all the duties of
president.

SECTION 3. The secretary shall keep the minutes of the
proceedings of all meetings, carry on all correspondence,
and read communications at each meeting.. The secretary
shall keep a roll of the membership in good standing. In
May of each year a preliminary roll of the membership shall
be prepared for use by the activities chairman. In July of
each year the secretary shall prepare a revised roll of
members in good standing and cause it to be mailed to all
such members.

SECTION 4. The treasurer shall issue a receipt for all
moneys paid to the club, and keep an accurate record of all
moneys received and expended. The Treasurer shall issue
membership documents upon payment of dues. The treasurer
shall pay no bills without proper authorization (by the club
membership in a regular meeting or by its officers acting as
an executive committee). The treasurer shall, at each
regular meeting present a monthly report, and at the annual
meeting present an annual report, of receipts and
disbursements.

SECTION 5. The activities chairperson shall have the
responsibility of organizing and supervising all events and
operating activities in which the club shall participate,
i.e. field day, parades, charitable fund raising activities,
contests and public emergencies.

SECTION 6: The operations manager shall be responsible for
maintenance of the club repeater(s) and shall be custodian
of all club chattel property and shall be responsible for
the good care and storage of the same. The operations
manager shall from time to time, upon request of the president, make recommendations for improvements to or disposal of such
property. The operations manage may become the trustee of
the club station license, provided that the he or she has a
valid amateur license meeting the requirements of the
Federal Communications Commission. He or she may appoint an
operator who holds a valid amateur license meeting the
requirements of the Federal Communications Commission to
become trustee of the club station license. The operations
Manager shall maintain a technical committee assembled from
members in good standing for the purpose of sharing
knowledge of the club’s on the air radio equipment and shall
maintain an appropriate number of control operator to monitor on the air activities of said equipment

SECTION 7. It shall be the duty of the trustees to monitor
the operation with the articles of incorporation and the
constitution, and to preserve the registered status of the
corporation with the state of Ohio. One of the trustees
shall be the statutory agent for the corporation registered
with the state of Ohio to receive all official notices and
shall transmit all such communication to the executive
committee for action. The statutory agent shall be
appointed by the trustees. The trustees shall, and at the
annual meeting, appoint an Operations Manager who’s term
shall be for one year commencing on April 1st. The Trustees
may re-appoint the current Operations Manager or appoint a
new Operations Manager who shall be a member in good
standing, and a member of the technical committee who has
demonstrated technical expertise working with the club’s on
the air radio equipment. The Trustees shall consider the
recommendations of the current Operations Manager.



ARTICLE II
ELECTION OF OFFICERS


SECTION 1. All officers except for the Operations Manager,
shall be elected by ballot at the annual meeting and all
officers shall assume office on April 1st following that
meeting. All officer positions, with exception of the
Operations Manager, shall have a term limit of two
consecutive terms in office.

SECTION 2. No member shall be eligible to elected office
who has not been a full member in good standing of the club
for at least three months. A member seeking a trustee
position for the first time must be a member in good
standing for the past three consecutive years.

SECTION 3. Should an officer resign during the club year,
the president shall appoint some member of the club to
assume the office temporarily, and order the secretary to
send notice of a special election at the next regular
meeting, when the vacancy can be filled.

SECTION 4. To remove an officer, a motion must be
presented, in writing, and approved at a regular or special
meeting. The president will then direct the secretary to
send out a notice explaining the motion, along with a
ballot. Three-fourths of the ballots returned must be in
favor of the motion in order to remove the officer. The
results of the balloting will be read by the secretary at
the next regular meeting. If removed, the presiding officer
shall proceed under ARTICLE II SECTION 3.



ARTICLE III
MEMBERSHIP


SECTION 1. Full membership is open to all licensed Radio
Amateurs, and shall be granted upon application and payment
of proper dues to the Treasurer , except the Executive
Committee may refuse membership to any person “for a good
cause”, but no person shall be denied membership due to
Race, Sex, Age, Religion or National Origin. All full
members shall have one vote.

SECTION 2. Unlicensed persons may become associate members
under the same conditions except they carry no vote.

SECTION 3. Applications for membership by new members shall
be submitted to the Treasurer together with proper payment
of dues, and all members will make dues payments to the
secretary.

SECTION 4. Members who are three months in arrears in
payment of dues shall be dropped from the membership roll,
except that the Executive Committee may extend this grace
period for an additional three month period, for good cause.

SECTION 5. A member may be expelled by the same procedures
as described in Article II, Section 4.



ARTICLE IV
DUES


SECTION 1. The annual dues shall be payable on April 1st,
and membership in good standing is contingent upon payment
of such dues. For new members, dues shall be prorated on a
quarterly basis.

SECTION 2. Dues for full members are as follows:
Regular members $25.00 per year
Retirees and full time students $15.00 per year

SECTION 3. Each additional family household member, or
associate member, shall pay only a token dues fee of $1.00
per year.



ARTICLE V
COMMITTEES


SECTION 1. At the regular meeting next previous to the
annual meeting, the president shall appoint a nominating
committee to present a list of candidates for election to
office for the following year.

SECTION 2. The president shall be empowered to appoint such
special committees as he deems needful at any time, or, on
the majority vote of the members at any meeting, he shall
appoint committees as they direct.

SECTION 3. The executive committee shall consist of the
president, vice-president, activities chairman, operation
manager, secretary, treasure, immediate past president, and
trustees. The executive committee shall hold meetings at
the request of the president, or upon request of a majority
of the executive committee, to conduct club business, and is
empowered to do those things which might ordinarily be done
at a regular business meeting. Five members shall
constitute a quorum of the executive committee, and vote of
four is required for passage of any proposals.



ARTICLE VI
AMENDMENT


SECTION 1: The By-laws may be amended if the following
conditions are met:

A. A committee will be appointed, including the President
and 3 members in good standing, when a written request is
received from a member asking for a revision of the By-laws.
All requests will be honored and completed through a vote on
the issue.

B. Publication of the proposed amendments in the club
newsletter not less than 30 days prior to the vote.

C. Ballots for voting are mailed in the club newsletter
announcing the amendment.

D. Ballots will be accepted for the vote, from members of
good standing, by mail or at the meeting.

E Ballots are counted at the first membership meeting after
the 30-day period has expired. The 3-committee members will
perform the count. A two-thirds majority is required for
passage.

F. Publication of the approved amendments in the club
newsletter.



ARTICLE VII
PARLIAMENTARY AUTHORITY


Robert’s Rules of Orders shall be the parliamentary
authority on all matters not covered by the Constitution and
By-Laws of this club.



ARTICLE VIII
SUSPENSION OF BY-LAWS


These By-Laws may be suspended in case of an emergency, for
the duration of the emergency by unanimous vote of all those
present at a meeting at which a quorum is present.



ARTICLE IX
ORDER OF BUSINESS


1. Call to order by the presiding officer.
2. Introductions of those present.
3. Reading of the minutes of the previous meeting, by the
secretary.
4. Treasures report.
5. Reports of committees.
6. Unfinished business.
7. New Business.
8. Program of the day (if any).
9. Adjournment.
