Constitution for Motorola Amateur Radio Club of Schaumburg, and
surrounding facilities
Preamble:
We, the
undersigned, wishing to secure for ourselves the pleasures and benefits
of an association of persons commonly interested in Amateur Radio,
constitute ourselves the Motorola Amateur Radio Club - Schaumburg,
Illinois and enact this constitution as our governing law. It shall be
our purpose to further the exchange of information and cooperation
between members, to promote radio knowledge, fraternalism and individual
operating efficiency, and to so conduct club programs and activities as
to advance the general interest and welfare of Amateur Radio in the
community.
Article I,
Membership:
All
Motorolans interested in Amateur Radio shall be eligible for
membership. Membership shall be by application and election upon such
terms as the club shall provide in its by-laws.
Article
Ia
Membership
shall be defined as those members who are current in annual dues, and
active in the club. Four classes of membership shall be available.
1) Active
members, are members in good standing whose dues are current, and
Regular Employees. Active is defined as participating in at least one
club sponsored activity per year such as Field Day, or a Radio contest,
i.e., November ARRL Sweepstakes from the club station. The yearly
banquet dinner does not constitute participation in an official club
activity.
2) Alumni members
are members who have left Motorola prior to retirement and may attend
off campus meetings and are current in dues.
3) Retiree
members are members who have officially retired from Motorola, and hold
a Yellow retirees badge.
4). Contractor
employees, the individual member in this category must hold a valid
Motorola Contractors picture ID badge.
Article II,
Officers:
Sec. 1. The
officers of this club shall be: President,
Vice-President,
Secretary, Treasurer and Club Historian also known as the club
Publicist.
Sec. 2 - The
officers of this club shall be elected for a term of one year by ballot,
or show of hands of the members present, provided there be a quorum (2/3
of members present), at the annual meeting, which shall occur at the
Christmas Banquet Dinner. Terms for all officers shall not exceed 2
consecutive terms, unless unopposed.
Sec. 3 -
Vacancies occurring between elections must be
filled by special
elections at the first regular meeting
following the
withdrawal or resignation of that Officer’s position.
Sec. 4 -
Officers may be removed by a two-thirds vote of the membership
present.
Article III,
Duties of Officers:
Sec. 1 - The
President shall preside at all meetings of this club, and conduct them
according to the rules adopted. The President shall enforce due
observance of this Constitution and By-Laws; sign all official documents
adopted by the club, and perform all other duties pertaining to the
office of President. At the expiration of their term, he/she shall turn
over all items belonging to the club to their successor.
The
president shall also at his discretion, form special task groups, and
advisory committees to assist him in the course of normal, or special
club functions, or activities as he should deem necessary, or required.
Sec. 2 - The
Vice-President shall assume all the duties of the President in his/her
absence. In addition, the VP shall organize club activities, plan and
recommend contests for operating benefits, decide all questions of
order; and advance club interest and activity as approved by the club.
He/She shall maintain close liaison with the ARRL Section Emergency
Coordinator to further club participation in the Amateur Radio Emergency
Service. At the expiration of their term he/she shall turn over all
items belonging to the club to their successor.
Sec. 3 - The
Secretary shall keep a record of the
proceedings of
all meetings, keep a roll of members, submit
membership
applications, carry on all correspondence, read
communications,
such as the ARRL bulletins, or other such notices as the Secretary shall
deem necessary or prudent at each meeting, communicate meeting notices
to each member by any appropriate written, or electronic form at the
discretion of the Secretary, and advise members of status changes in
membership categories, in case of a vote. At the expiration of their
term he/she shall turn over all items belonging to the club to their
successor.
Sec. 4 - The
Treasurer shall receive and receipt for all moneys paid to the club;
keep an accurate account of all moneys received and expended; payments
exceeding $200 require 2 signatures on the club check. At the end of
each quarter the Secretary shall submit an itemized statement of
disbursements and receipts. At the end of their term he/she shall turn
over everything in their possession belonging to the club to their
successor.
Sec. 5 - The Club
Historian (publicist), shall receive all articles, written and
otherwise, that would be determined by the members, as historic to the
origins of the Club and Amateur Radio in general. These items may be
archived in a manner that the Historian sees fit as to retain there
authenticity. At the end of their term he/she shall turn over everything
in their possession belonging to the club to their successor.
Article IV,
Meetings:
The By-Laws
shall provide for regular and special meetings. At meetings, a minimum
of 2/3 of the membership shall constitute a quorum for the revision of
by-laws, and 12 members shall constitute a quorum for general business.
Article V, Dues:
The club, by
majority vote of those present at the annual Club Banquet, as described
in article IV above, may levy upon the general membership such dues, or
assessments as shall be deemed necessary for the business of the
organization. Non-payment of such dues or assessments shall be cause for
loss of property from the club within the discretion of the officers.
Article VI,
Membership Assistance:
The club,
through designated RFI Interference, Public Relations, and Operating
Committees will provide technical advice to members concerning equipment
design and operation to assist in frequency observance, clean signals,
uniform practice, and absence of spurious radiation from club
member-stations. The club shall also maintain a program to foster and
guide public relations.
Article VII,
Amendments:
This
constitution or the By-Laws may be amended by a one-forth vote of the
total membership present. Proposals for amendments shall be submitted
in writing or e-mail at a regular meeting and shall be voted on at the
next following regular meeting, provided all members have been notified
by mail of the intent to amend the constitution and/or By-Laws at said
meeting. Proxy votes can be submitted in writing or by e-mail for those
members who may be traveling, and will not be able to be present.
Robert's
Rules shall govern proceedings, unless otherwise noted in this document.
By-Laws:
1. Vice
President. It shall be the duty of the Vice President to keep the
constitution and By-Laws of the club and have the same with them at all
meetings.
2. The Secretary
shall note all amendments, changes and additions on the constitution and
shall permit it to be consulted by members upon request.
2. Membership.
Full membership is open to FCC licensed Motorola amateurs as outlined in
section 1a, or individuals interested in becoming licensed. Full
membership includes all club privileges as well as rights to hold a club
office and to vote for club officers. Applications for membership shall
be submitted at regular meetings.
3. Meetings.
Regular meetings shall be held on
the Second
Thursday of each calendar month. Special
meetings may be
called by the President upon the written request of any 5 club members.
Notices shall be sent to members concerning special meetings and the
business to be transacted. Only such business as designated shall be
transacted. Such notices shall be sent so that they arrive not less than
24 hours before the meeting.
4. Dues. A
regular yearly assessment of $12.00 ($1 per month, pro rated) per member
is hereby assessed in accordance with the provisions of Article V of the
constitution for the purpose of providing funds for expenses.
5. FCC Part 97.
All club station(s) under the MARC of Schaumburg, and surrounding
facilities shall at all times operate club station(s) and activity(s) in
adherence to the FCC rules and regulations covering such operations
under rules and regulations Part 97. At no time shall any MARC member
operate outside the limits governed by their respective license class at
any time, for any purpose, unless supervised by a licensed amateur with
privileges for band segments in use as provided for in Part 97.
6. In addition to
officers, there shall be a Club Trustee who is a Regular Full Time
Employee, and it shall be the Trustees responsibility to maintain the
Club License, and insure that the Club Stations are operated in
accordance to the FCC rules and regulations as outlined in Part 97.
