STANLY COUNTY AMATEUR RADIO CLUB, INC. Constitution and By-laws

PREAMBLE

We, the undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in AMATEUR RADIO do hereby constitute ourselves THE STANLY COUNTY AMATEUR RADIO CLUB and do enact this constitution as our governing law. It shall be our purpose to facilitate the exchange of information and general cooperation between members, to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the general community.

This Constitution and By-Laws formally adopted at a regular meeting of the Stanly County Amateur Radio Club (ARC) held January 6, 1957 and amended at regular meetings held June 5, 1966, October 4, 1977, July 12, 1979, July 9, 1981, March 30, 1989 and March 27, 1997.

ARTICLE 1 MEMBERSHIP

Sec. 1 All persons interested in Amateur Radio shall be eligiblefor membership. Membership shall be by application and election upon such terms as the club shall by its By-Laws provide.

Sec. 2 Only those persons who are present at the first meeting and whose names are signed to this Constitution shall be considered Charter Members.

Sec. 3 Title to all real property shall be vested in the Charter Members.

Sec. 4 Title to all equipment shall be vested in the Active Members.

ARTICLE 2 OFFICERS

Sec. 1 There shall be three officers of this club: President, Secretary/Treasurer and Club Trustee.

Sec. 2 The officers of this club, except for the Club Trustee, shall be elected for a term of one year, by ballot of the members present at the September meeting.

Sec. 3 The Club Trustee, when elected, shall serve until his successor has been elected and qualified. Any vacancy in the office of Club Trustee shall be filled at the next regular meeting, by ballot of the members present.

Sec. 4 Vacancies occurring between elections must be filled by special ballot at the first regular meeting after the vacancy occurs.

Sec. 5 Officers may be removed on motion carried by a three- fourths vote of the membership.

ARTICLE 3 DUTIES OF THE OFFICERS

Sec. 1 The President shall preside at all meetings of this club and conduct the same according to the rules adopted. He shall enforce due observance of this Constitution and By- Laws, decide all questions of order, sign all official documents that are adopted by the club, and none other and perform all customary duties pertaining to the office of President.

Sec. 2 The Secretary/Treasurer shall keep a record of the proceedings of all meeting, keep a roster of members, carry on all correspondence, and read communications at each meeting. It shall be the duty of the Secretary/Treasurer to keep the Constitution and By-Laws of the Stanly County ARC and have same with him at every regular and special meeting. He shall cause all amendments, changes and additions to be noted thereon and shall permit the same to be consulted by members upon request. He shall receive and receipt for all monies paid to the club. He shall keep an accurate account of all monies received and expended. He shall pay no bills without proper authorization. He shall submit an itemized statement of disbursements and receipts at least quarterly. He shall at the expiration of his term turn over everything in his possession belonging to the club to his successor.

ARTICLE 4 MEETINGS

Sec. 1 The By-Laws shall provide for regular and special meetings. At meetings, five members, of which one must be an elected officer, shall constitute a quorum for the transaction of business.

ARTICLE 5 DUES

Sec. 1 The Stanly County ARC by majority vote of those present at any regular meeting may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization within its objective as set forth in the preamble. Nonpayment of such dues or assessments shall be cause for expulsion from the club within the discretion of the membership.

ARTICLE 6 AMENDMENTS

Sec. 1 This Constitution or the By-Laws may be amended by a two- thirds vote of the members present. Proposals for amendments shall be submitted in writing at a regular meeting and may not be voted on until the next regular meeting.

ARTICLE 7 RULES

Sec. 1 Robert's Rules of Order may be instituted by the President.

BY-LAWS

Sec. 1 MEMBERSHIP

Membership, by application provided by the club, shall be divided into three groups as follows:

A. Regular members being those paid up members with voting and operating privileges.

B. Student members being those paid up members engaged in full time schooling with voting and operating privileges.

C. Family members being those paid up members residing at the same address as a regular member and having voting and operating privileges.

Sec. 2 MEETINGS

Regular meetings shall be held monthly, except December, at such place and time as the President shall order. Special meetings may be called by the President upon written request of any five members of the club. Notices shall be sent to all the members informing them of the special meeting and the business to be transacted. Such notices shall be so sent that in the ordinary postal delivery they shall arrive at least twenty four hours before the time therein set for the meeting. Only such business as is designated in the said notice shall be transacted at such special meetings.

Sec. 3 DUES

Annual dues shall cover the period of July 1 through June 30.

A monthly amount of $1.00 for regular members is assessed for dues in accordance with the provisions of Article 5 of the Constitution to provide funds for current expenses.

A monthly amount of $.50 for student and family members is assessed for dues in accordance with the provisions of Article 5 of the Constitution to provide funds for current expenses.

Members in arrears three months dues shall be notified and if not paid within 30 days of notification will be dropped from membership in the club.

Sec. 4 COMMITTEES

The President will appoint special committees as required.

Sec. 5

The Stanly County Amateur Radio Club, Inc. shall operate as a non profit corporation. No officer shall receive any remuneration for his services to the corporation. The operation shall not accrue to the financial gain, directly or indirectly, to any officer or member.
