Article I – Name

Section 1 – The name of this organization shall be The Clinton County VHF Amateur Radio Club, Inc.

Section 2 - The name this organization shall do business as shall be The Clinton County Amateur Radio Club.

Article II – Object

Section 1 – The object of this Club shall be: To provide for Club members the pleasure and benefits of the association with persons commonly interested in amateur radio.

Section 2 – To take general interest in all matters and problems affecting or involving VHF amateur radio and take such actions as may be deemed appropriate.

Section 3 – This Club shall be a non-profit organization.

Article III – Membership

Section 1 – All persons interested in amateur radio shall be eligible for membership.

Section 2 – A person applying for membership shall agree to abide by the Constitution and By-Lays of this Club.

Section 3 – In order to elect a person to membership in this Club, a majority of the votes of the members present shall be necessary to elect said person.

Section 4 – Any member may be dropped from club membership for good cause shown. Before such member is dropped from membership the cause shall be discussed at a regular or special meeting of the Club and the subject tabled until the next regular or special meeting and notice of such action sent to such member. An affirmative vote of two-thirds of all the votes of the members present shall be necessary for dismissal action.


Article IV – Officers

Section 1 – The officers of the Club shall consist of:

President
Vice-President
Secretary-Treasure

Section 2 – The officers shall be elected for a term of one year by a ballot of the members present, provided there be a quorum, at the annual meeting.

Section 3 – Vacancy occurring between elections must be filled by special ballot at the first regular meeting at which the withdrawal or resignation is announced.

Section 4 – Officers may be removed on a motion by a three-fourths vote of the total membership.

Article V – Dues

Section 1 – There shall be regular dues for the necessary expenses of the Club.

Article VI – Amendments

Section 1 – This Constitution may be amended. Proposed amendments shall be submitted in writing at a regular or special meeting then tabled until the next meeting and notices of proposed amendments(shall be sent to all members. No less than seven days notice must be given of the next meeting to all concerned.

Section 2 – An affirmative vote of two-thirds of total membership shall be necessary to amend this Constitution.

Article VII – Miscellany

Section 1 – A majority as used in this Constitution and By-Laws shall be defined as one more than half.

Section 2 – Total membership as used in this Constitution and By-Laws shall be defined as the total regular membership.

Section 3 – A quorum for a meeting shall consist of the Executive Committee as defined in the By-Laws.

Section 4 – When necessary to constitute a quorum, the President shall make necessary temporary appointment(s) from the members present.


By-Laws

Article I – Order of Business

Section 1 – At all meetings of this Club the order of business shall be as follows:

1 – Roll Call of Officers and Members
2 – Approval of Minutes of the previous meeting
3 – Officers reports – President, Vice President, Secretary-Treasure.
4 - Reports of Standing Committees
5 – Reports of Special Committees
6 – Unfinished Business
7 – New Business

Section 2 – This order of business may be suspended upon certain occasions upon a majority vote of the total number of votes represented at the meeting in question.

Section 3 – Robert’s Rules of Order shall prevail.

Article II – Meetings

Section 1 – Meetings shall be held on the first Tuesday of each month or as scheduled by the executive committee.

Section 2 – Nomination for officers shall be made at the regular meeting in June.

Section 3 – Annual election of officers shall be at the regular meeting in July.

Section 4– Special meetings may be called by the President when deemed necessary.

Article III – Membership

Section 1 – There shall be two (2) classes of membership as follows:

A – Regular or full members. A person holding a valid amateur license and paying full dues is entitled to all rights and privileges of the Club.

B – Associate member


1 – A person not holding a valid amateur radio license but paying full dues is entitled to all rights and privileges except voting.
2 – Such as associate member shall upon obtaining a valid amateur operator’s license, be accorded the right to vote.
3 – Licensed members may be associate members if desired upon notification of the Secreatry.

Section 2 – Members serving in the Armed Forces on active duty shall pay no dues. Such a member must resume active membership within six(6) months after discharge or he will be dropped from the roll.

Section 3 – Any member more than three (3) months in the arrears in his dues shall be dropped from the roll.

Section 4 – A member dropped for non-payment of dues shall be re-instated upon payment of all dues in arrears. After six (6) months he must be initiated as a new member.

Article IV – Officers

Section 1 – To be elected to office a person must be a regular member and hold a valid amateur radio operators license.

Section 2 – Duties of officers:

A – The President shall preside at all meetings of this Club, and conduct the same according to the rules adopted; he shall enforce due observance of this Constitution and By-Laws; decide all questions of order; sign all official documents that are adopted by the Club, and none other, and perform all customary duties pertaining to the office of president.

B – The Vice-President shall assume all duties of the President in the absence of the latter.

C – The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit applications for membership, carry on all correspondence, and read communications at each meeting. He/she shall at the expiration of his/her term turn over everything in his/her possession belonging to the club to his/her successor. He/she shall have a copy of this constitution and by-laws available at all club meetings.

D – The Treasurer shall receive and receipt for all monies paid to the Club; he/she shall keep an accurate account of all monies received and expended. He/she shall pay no bills without proper authorization by the Club or its officers constituting a business committee. At the end of each quarter he/she shall submit an itemized statement of disbursements and receipts. He/she shall, at the expiration date of his/her term turn over everything in his possession belonging to the Club, to his/her successor.

Article V – Dues

Section 1 – Dues for regular membership shall be paid annually.

Section 2 – Dues for associate members shall be paid annually.

Section 3 – In the event that there should be insufficient monies in the treasury to meet current expenses there shall be a special levy on all regular members sufficient to cover said expenses only.

Article VI – Elections

Section 1 – A secret ballot shall be used to amend this Constitution or By-Laws.

Section 2 – A secret ballot shall be used for the election of officers.

Section 3 – A secret ballot shall be used for the removal of an officer or member.

Section 4 – Any regular member may require a secret ballot in other instances when deemed necessary.

Article VII – Miscellany

Section 1 – An executive committee comprising of the club officers and one other member appointed by the President shall act as an advisory committee to the President. They shall convene at the request of the President.

Section 2 – Standing committees shall be appointed for a period of one (1) year by the President. They shall consist of the following:

A – Technical Committee. This Committee shall render all assistance possible on technical matters.

Section 3 – Program Chairman: He or she shall be appointed for one (1) year by the President and shall provide programs for the regular meetings.

Section 4 – Communication Manager: He shall be appointed for one (1) year by the President and shall coordinate club amateur radio activities with other organizations or emergencies. He shall also keep a record of all available emergency equipment.

Section 5 – Special Committees as required shall be appointed by the President.

This Constitution and By-Laws was adopted by the club at the September 4, 1965 meetings.

Article V – Dues

Section 2 Shall read as follows;

Dues for regular membership shall be six ($6.00) dollars per year.


Section 3 Shall read as follows;

Dues for associate membership shall be six ($6.00) dollars per year.

Section 6 Shall be added to read as follows;

The head of the households shall pay full dues and the remaining members of the immediate family shall pay two ($2.00) dollars per year.

Article II Section 1 shall be amended to read as follows;

This Constitution and By-Laws was amended (revised and updated) and adopted by the Club at the December 5, 1995 meeting.
