By-Laws of the Pasadena Radio ClubArticle I: NameSection 1: This society or organization shall be known as the Pasadena Radio Club. Article II: Object
Article III: Membership Section 1: Membership in the Pasadena Radio Club shall be restricted to those having a bona fide interest in Amateur Radio. Article IV: Officers Section 1: The officers shall consist of a President, Vice-President, Secretary, and a Treasurer. Section 2: The Board of Directors shall be composed of the immediate past officers, the current officers, and three directors at large. Section 3: Election of officers and directors at large shall take place at the regular meeting in November. The term of office shall commence with the first day of January and end on the last day of December. Section 4: All officers and directors shall possess an Amateur Radio License. Section 5: All officers and directors at large shall have passed their 18th (eighteenth) birthday at the time of election. Section 6: Removal of officers, directors at large, or Station Trustee for cause shall be by two thirds majority of members in good standing at a regular meeting. The vote shall be by secret ballot per Article IX, Section 1. Section 7: The President shall preside over all regular or special meetings of the Club and over all meetings of the Board of Directors. The President shall appoint Chairs of Programs, Field Day, Education, and Public Service committees. Section 8: The Vice-President shall act in the absence of the President and exercise the same rights and privileges as the President. In addition, the Vice-President shall coordinate all special activities of the Club in cooperation with the Chairs and other committees which have been appointed. Section 9: The Secretary shall keep the minutes of the Club at all regular and special meetings and shall conduct all correspondence of and for the Club. The Secretary shall be the Recorder of the Board of Directors. In addition, the Secretary shall act in the capacity of the Vice-President, and President, in that order, in the absence of the officer. The Secretary shall exercise the same privileges of the regular officer. Section 10: The Treasurer shall have custody of all funds of the Club. The Treasurer shall disburse funds for the Club and shall keep records of all funds received and disbursed. In addition, the Treasurer shall act in the capacity of the Secretary, Vice-President, and President, in that order, in the absence of the officer. The Treasurer shall exercise the same privileges of the regular officer. Section 11: The Trustee shall have charge of the Club Station property and is responsible for FCC-approved operation of the Club Station and shall serve until replaced. The Trustee shall be elected by a two-thirds majority per Article IX, Section 1. Section 12: Any current officer shall not be eligible for re-election to the same office for a period of 1 (one) year. Article V: Meetings Section 1: Regular meetings shall be held on the 4th (fourth) Tuesday of each month except December. Section 1A: Board of Directors meetings shall be held on the 2nd (second) Tuesday of each month unless otherwise agreed upon. Only board members have voting privileges and each board member has one vote at Board of Directors meetings. This meeting is open to the general membership. Section 2: Each member in good standing shall have one ballot or vote at regular or special meetings. Section 3: Allocation of funds, other than normal events and obligations, in excess of $200.00 (two hundred) dollars shall be by two-thirds majority vote of the members present at a regular meeting per Article IX, Section 1. Section 4: Officers are elected by a simple majority of the members present at the election meeting. Article VI: Committees Section 1: The President shall appoint a nominating committee of three members at least one month prior to election night. Section 2: The President shall appoint all other Committee Chairpersons unless otherwise ordered by the Club. Article VII: Dues and Fees Section 1: Membership dues shall be $30.00 (thirty) dollars per year. Licensed amateurs in the same household may apply to the board for membership at no additional cost. Section 2: : Full time regular students may apply to the board for membership at $15.00 (fifteen) dollars per year. Section 3: Dues are payable on January 1 (first) and become delinquent after April 1 (first) wherein the mailing of the Bulletin to the delinquent household will cease.. Section 4: First time members joining between January and April shall pay 100% of the annual dues; May through August shall pay 75%; September through December shall pay 50%. Article VIII: Parliamentary Authority Section 1: Robert's Rules of Order will be the rule and guide in any case where these By-Laws do not apply. Section 2: A two-thirds majority of the members present at a regular meeting is required to amend the By-Laws per Article IX, Section 1. Article IX: Voting Section 1: A vote requiring a two-thirds majority must be published to the membership prior to the meeting when the voting will take place.
