CONSTITUTION

PREAMBLE: We, the undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Amateur Radio, do hereby constitute ourselves the Jonesboro Amateur Radio Club and do enact this constitution as our governing law. It shall be our purpose to facilitate the exchange of information and general co-operation between members, to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of amateur radio in the general community.

ARTICLE I

MEMBERSHIP

Sec. 1 -- All persons interested in amateur radio shall be eligible for membership. There shall be two (2) classifications of members, as follows:

a. Member: One who is a licensed radio amateur, and who shall have voting privileges.

b. Associate Member: One interested in amateur radio solely with personal aim, not monetary interest, and who shall not have voting privileges.

ARTICLE II

OFFICERS

Sec. 1 -- The officers of this club shall be: A President, Vice-President, a Secretary, a Treasurer, and an Activities Manager.

Sec. 2 -- The officers of this club shall be elected for a term of one year by ballot of the members present, provided there be a quorum, at the regular meeting in February of each calendar year.

Sec. 3 -- Vacancies occurring between elections must be filled by special ballot, at the first regular meeting at which the withdrawal or resignation is announced.

Sec. 4 -- Officers may be removed on motion by a three-fourths vote of the membership.

ARTICLE III

DUTIES
OF
OFFICERS

Sec. 1 -- The President shall preside at all meetings of this club, and conduct the same according to the rules adopted, he shall enforce due observance of this Constitution and By-Laws; decide all questions of order; sign all official documents that are adopted by the club, and none other, and perform all customary duties pertaining to the office of president.

Sec. 2 -- The Vice-President shall assume all the duties of the president in the absence of the latter.

Sec. 3 -- The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit applications for membership, carry on all correspondence, read communications at each eeting and shall give notice to each member of all regular and special meetings by mail or by telephone. He shall at the expiration of his term turn over everything in his possession belonging to the club to his successor.

Sec. 4 -- The Treasurer shall receive and receipt for all monies paid to the club; he shall keep an accurate account of all monies received and expended. He shall pay no bills without proper authorization by the club or its duly elected officers. At the end of each quarter he shall submit an itemized statement of disbursements and receipts. He shall, at the expiration of his term, turn over everything in his possession belonging to the club to his successor.

Sec. 5 -- The Activities Manager shall organize club member radio station activities, and plan and recommend contests for operating benefit, and to advance the general club interest and activity as may be approved by the club. He shall maintain close liaison with the ARRL Emergency Coordinator or SEC to further the fullest possible club participation in the Amateur Radio Emergency Corps. He shall keep informed by questionnaires or other means of the equipment, normal operating frequencies and hours, and type of operation of such members as possess station equipment to facilitate emergency organization and to help in planning general interest activities. He shall encourage new stations in reporting activities to the club (bulletin) and to the elected Section communications official of the A.R.R.L.; all these things to make the reputation of the club and amateur radio activities in the community as outstanding as possible. He may appoint traffic committees or assistants to aid him in specific branches of activity.

ARTICLE IV

MEETINGS

Sec. 1 -- The By-Laws shall provide for regular and special meetings. At meetings, one-third of the membership shall constitute a quorum for the transaction of business.

ARTICLE V

DUES

Sec. 1 -- The Jonesboro Amateur Radio Club, by majority vote of those present at any regular meeting, may levy upon the general membership such dues or assessments as shall deemed necessary for the business of the organization within its object as set forth in the preamble thereof. Non-payment of such dues or assessments shall be cause for expulsion from the club within the discretion of the membership.

JONESBORO AMATEUR RADIO CLUB
BY-LAWS

Sec. 1 - MEMBERSHIP. Applications for membership shall be submitted at a regular meeting in writing and each application must express a willingness of the applicant to abide by the Constitution and By-Laws and such rules as shall from time to time be promulgated by the club. Two-thirds of those present shall approve the applicant before he shall be considered elected to membership.

Sec. 2 - MEETINGS. Regular meetings shall be held on the first Tuesday of each calendar month at such place as the president shall order. Special meetings may be called by the president upon the written request of any five (5) members of the club. Notices shall be mailed or telephone notice given informing them of the special meetings and the business to be transacted. Such notices shall be given, so that all members are notified at least twenty-four (24) hours before the time therein set for the meeting. Only such business as is designated in the said notice shall be transacted at such special meetings.

Sec. 3 - DUES. A regular monthly assessment of $1.00 per member is hereby assessed in accordance with the provisions of Article V of the Constitution for the purpose of providing funds for current expenses.

Non payment of dues by any member for a period of six (6) months shall be cause for expulsion from the club. Any member so expelled, by a two-thirds vote of all present, may be re-instated upon payment of three (3) months back dues.

Sec. 4 - COMMITTEES: The president may appoint any committee or committees as he deems necessary from time to time to facilitate the operation and best interest of the club. Such committees may include:

a. Interference Committee
b. Technical Committee
c. Program of Entertainment Committee
d. Publicity Committee
e. Special Committees

AMENDMENT I

I. The President shall, at his option, appoint a Repeater Committee to oversee repeater activities of the Jonesboro Amateur Radio Club.

II. The Repeater Committee shall consist of no less than five members and will include the President, any and all Repeater Station Licensees, the Chief Engineer, and any Trustees as the President may deem appropriate.

III. The Repeater Committee will meet whenever deemed necessary by the President, who will act as chairman for the Committee. Each member of the committee will have one vote, majority rule shall prevail. Repeater Station Licensees (Custodians) may veto any measure that pertains to his license.

IV. A special Repeater Fund shall be established by the membership to cover the costs of repeater activities. The Repeater Committee may, without prior approval of the Club, make necessary expenditures from the Repeater Fund. Under no circumstances will the committee make expenditures from the general Club treasury without the prior approval of the General Membership.

V. The General Membership of the Club may, by majority vote, recind any and all actions, except obligated expenditures, made by the Repeater Committee.

AMENDMENT 2

Amend Article IV, Sec 1-The By-Laws shall provide for regular and special meetings. At meetings, ten percent (10%) of the membership shall constitute a quorum for the transaction of business.

AMENDMENT 3

Amend Article III, Sec 4--The Treasurer shall receive and receipt for all monies paid to the club; he shall keep an accurate account of all monies received and expended. He shall pay no bills without proper authorization by the club or its duly elected officers. At the end of each year, he shall submit an itemized statement of disbursements and receipts. A monthly report of financial status shall be made. He shall, at the expiration of his term, turn over everything in his possession belonging to the club to his successor.

BY-LAWS

Sec. 3 - DUES. An annual assessment of $15.00 payable in January is hereby assessed in accordance with the provisions of Article V of the Constitution for the purpose of providing funds for current expenses. Said assessment will cover all licensed members within the immediate family living as a unit.

Non payment of dues by any member for a period of six (6) months following due date, shall be cause for expulsion from the club. Any member so expelled, by a two-thirds vote of all present, may be re-instated upon payment of the annual assessment.

AMEND SEC IV OF AMENDMENT I: The Repeater Committee may, without prior approval of the Club make necessary expenditures from the General Fund up to $300 providing the President and Treasurer acertain the full amount of expenditure is in the Treasury and not previously appropriated for other expenses.

Amend Article II, Sec. 2. The officers of this club shall be elected for a term of one year by ballot of the members present, provided there be a quorum. Nominations in October, Election in November. Installation in December at Christmas Party. Take office in January.
