Chapter 120 of QCWA





By-Laws; as amended - October 1984

Nothing in These By-Laws shall be construed as to conflict with the Constitution and By-Laws of the Quarter Century Wireless Association, Inc., hereafter known as QCWA

1. NAME
   

The name of this Association shall be the Quarter Century Wireless Women, hereafter know as QCWW, a chapter of the QCWA dedicated to encouraging qualified women amateurs to actively participate in QCWA activities.

2. MEMBERSHIP
A.

Membership in the QCWW Chapter shall consist of those members of the QCWA worldwide, who have a desire to further our purpose.

B.

Only members in good standing in the QCWA shall be eligible for membership in the QCWW Chapter.

C.

Applicants for membership shall submit satisfactory proof of eligibility on the prescribed application form, Acceptance of membership shall be made by the Secretary/Treasurer, subject to review by the Executive Board. The procedure for applying for membership may be modified by majority vote of the Executive Board at any called meeting.

3. OFFICERS
A.

There shall be a President, Secretary/Treasure, two directors and one DX International Liaison Officer. These six (6) shall comprise the executive Board. The officers and board members shall be elected by the membership for a period of one (1) year, taking office on 1 January following their election. No elected official, except for the DX International Liaison Officer, may hold the same office for more than two (2) consecutive terms, however, she may hold a different office immediately upon completion of the term of a previous office held.

B.

The President shall preside at all Official Meetings and/or Conventions of the Chapter and shall act as Chairman of the Executive Board. She shall appoint an Editor, Publicity Chairman and Net Chairman. She shall be ex-officio member of all committees. She shall make all appointments when vacancies occur in office. She shall appoint a Nominating Committee consisting of a Chairman and 2 assistants within 3 months after her election.

C.

The Vice President shall assume all the duties of the president, in the absence of disability of the latter. She shall have charge of all Chapter, on the air activities, Contests and Certificates, and rules for same. She shall appoint the Certificate Custodian.

D.

The Secretary/Treasure as Secretary shall keep records, attend to Official Correspondence with QCWA Headquarters Office, and keep the records of Chapter Membership. The Secretary/Treasure as Treasure, shall have custody of the Chapter Funds, keep accurate books of Account, pay all bills and ordinary expenses, which have been provided for in the budget. Payment of additional expenses, beyond those in the budget, may be authorized by 2/3 vote of the Executive Board.

E.

The executive board shall perform such duties as may, from time to time be designated to it by members and, in addition, shall have a general power to act for the Chapter between meetings.

F.

The DX International Liaison Officer shall be the official DX representative and shall perform duties which promote the organization and encourage qualified DX amateur radio operators to actively participate in QCWA and QCWW. She shall be elected by the membership annually, taking office on 1 January following the election. This officer's tenure shall not be limited to two (2) consecutive terms in elected office.

4. COMMITTEES
A.

The EDITOR shall publish a QCWW Newsletter, to be known as "Silver Sparks", 4 times a year

B.

The PUBLICITY CHAIRMAN shall be responsible for publicizing the Chapter in every way possible. Sending all items to "QCWA News: and other publications of interest to QCWA and QCWW members.

C.

The NET CHAIRMAN shall be responsible for conducting, or appointing a Net Control, to conduct all QCWW Nets.

D.

The CERTIFICATE CUSTODIAN shall be issuing all Certificates and keeping proper records pertaining to issuance of Certificates. No rules may be changed except as set forth in 3. OFFICERS - "C.1.".

5. MEETINGS AND NOTICES
A.

All "Meetings" of the General Membership shall be conducted by mail. No regular Membership meetings are specified.

B.

Action of the Executive Board shall be called by the President, at least twice a year. Such meetings may be conducted in writing or on the air, providing all Executive Board Members are present.

C.

On questions involving the entire membership, the Secretary shall provide each member with a Ballot and information concerning the question or candidate to be voted on. This may be done through publication in Silver Sparks. A closing date for voting shall be stated in the notice and shall not be less that six (6) weeks from the date of publication.

D.

The President elect shall appoint a Nominating Committee, consisting of a Chairman and 2 Assistants, who shall present a final slate of Officers to be voted on. Any member or members may submit a member's name for nomination, providing they are eligible and they have the written consent of the nominee. Any member may volunteer for an office by filling out the QCWW Nomination Acceptance Form. All Nomination Acceptance Forms must reach the Nominating Committee by the deadline date published on the Form. No member may be nominated for office without written consent

E.

Ballot for general election shall be provided for each member in the Fall issue of Silver Sparks.

6. BALLOTING
A.

When voting on Officers, a simple majority of the members voting is sufficient for election.

B.

On all matters brought to a vote, except amending of these By-laws (see 10. AMENDMENTS), a simple majority of the votes cast is sufficient.

C.

All questions not covered by these By-Laws shall be governed by Roberts Rules of Order.

7. DUES
A.

The dues shall be $3.00 per year plus postage, payable upon application and on 1 January. The dues for a new member accepted after 1 November and before 1 January shall cover through the next year.

B.

If more than one family member within the same residence is a QCWA and QCWW member, QCWW dues for each additional member shall a $1.00 per year. Only one publication or official communication will be mailed to the address, except when such communication contains a ballot. Ballots will be included for each family member in good standing.

C.

The members may, by majority vote, change the annual dues and may levy assessments for special purposes.

8. AUDIT
A.

The accounts of the Treasurer shall be audited annually and always at the end of the term of any Treasure's Office, by a committee of two persons designated by the Secretary/Treasurer, with the approval of the President.

9. FUNDS
A.

In the event of dissolution of this Chapter, and after payment of all necessary expenses and obligations, any remaining assets shall be sent to the QCWA Scholarship Fund.

10. AMENDMENTS
A.

On matters concerning changes or Amendments to these By-Laws, 2/3 of the members voting is required.
