Bylaws and Constitution

Constitution of the Littlerock Contest Club

ARTICLE I
Name and Objectives

Section 1.
The name of the club shall be Littlerock Contest Club.

Section 2.
The objectives of the club shall be:

  • To further the cause and interest of amateur radio.
  • To promote and support public service communications and training activities.
  • To provide information and encourage exchange of information among radio amateurs.
  • To conduct programs and activities to advance the general interest and welfare of amateur radio in the community.
  • To promote radio knowledge, faternalism and individual operating proficiency.
  • To encourage the respect of the rules and the regulations of worldwide amateur radio contest-promoting organizations including the ARRL and CQ Magazine.
  • To encourage proficiency in the use of Morse Code.
  • To encourage participation in activities related to the FISTS club.
  • To encourage participation in contests to improve skill.

Section 3.
The club shall not be conducted or operated for profit and no part of any profits or remainder or residue from dues or donations to the club shall inure to the benefit of any member or individual.

Section 4.
The the club shall adopt and my from time to time revise such bylaws as may be required to carry out these objectives. The way in which this constitution and the bylaws shall be adopted and revised shall be in accordance with the methods as described in the Littlerock Contest Club bylaws.

Bylaws of the Littlerock Contest Club

ARTICLE I
Membership
Section 1.
Eligibility.

There shall be two types of membership, Board Membership and General Membership. Board Membership is restricted to the Littlerock Contest Club President and Trustee, Jim (James B.) Leighty, and to those designated by the Littlerock Contest Club President. General Membership is open to those recommended by the Board of Directors of the Littlerock Contest Club for the period designated by the Board of Directors.

While membership is to be unrestricted as to residence, the club's primary purpose is to be representative of the amateur radio operators and supporters in its immediate area.

Section 2.
Dues.

There shall be no dues required for membership in the Littlerock Contest Club.

Section 3.
Election to membership.

Membership shall be granted by the Board of Directors on a person-by-person basis, when the Board of Directors determines that an individual's membership shall support the goals of the Littlerock Contest Club. Examples of reason to grant membership are:

  • Participation as a member of a contest team under the club.
  • Participation in station-building activities for and with club members.
  • Participation in other activities as shall be determined by the Board of Directors.

In becoming a member of the Littlerock Contest Club, the individual agrees to abide by the Constitution and Bylaws and the rules of the Littlerock Contest Club.

Acceptance as a member of the Littlerock Contest Club will be by approval of the Littlerock Contest Club President.

Section 4.
Termination of Membership.

Memberships may be terminated:

  1. By resignation. Any member in good standing may resign from the club upon written notice to the Secretary.
  2. By expulsion. A membership may be terminated by expulsion as provided in Article VI of these bylaws.
ARTICLE II
Meetings and Voting

Section 1.
Club Meetings.
Meetings of the club shall be held at the discretion of the President of the Littlerock Contest Club

Section 2.
Special Club Meetings.
Special club meetings may be called by the President.

Section 3.
Board Meetings.
Meetings of the board of directors shall be held at the discretion of the President.

Section 4.
Special Board Meetings.
Special meetings of the board may be called by the President.

Section 5.
Voting.
Operation of the Littlerock Contest Club is at the direction of the President. There is no provision for voting by the General Membership of the Littlerock Contest Club. Decisions relating to the operation of the Littlerock Contest Club are to be made solely by the Littlerock Contest Club President, with advise provided by the Board of Directors.

ARTICLE III
Directors and Officers

Section 1.
Board of Directors.
The Board of Directors shall be comprised of the Officers only. Management of the Club shall be vested in the Board of Directors. The President shall have veto power over any action recommended by the Board of Directors.

Section 2.
Officers.
The club's Officers, consisting of the President, Vice President, and Secretary-Treasurer, shall serve in their respective capacities both with regard to the club and its meetings and the Board and its meetings.

  1. The President shall preside at all meetings of the Club and of the Board. The President shall have the duties an powers normally appurtenant to the office of President in addition to those particularly specified in these bylaws. The President shall have the duty of being Club Trustee for the Amateur Radio License for the Club.
  2. The Vice President shall have the duties and exercise the powers of the President in case of the President's death, absence or incapacity.
  3. The Secretary-Treasurer shall keep a record of all meetings of the club and of the board and of all matters of which a record shall be ordered by the club; have charge of the correspondence, notify members of meetings, notify new members of their election to membership keep a roll of the members of the club with their addresses and carry out such other duties as are prescribed in these bylaws. The Secretary-Treasurer shall collect and receive all moneys due to or belonging to the club.

Section 3.
Vacancies.
Any vacancies occurring on the Board or among the Officers during the year shall be filled by appointment by the President.

ARTICLE IV
The Club Year, Annual Meeting, Elections

Section 1.
Club Year.
The club's fiscal year shall begin on the first day of January and end on the last day of December.

Section 2.
Annual Meeting.

All meetings of the club, including an Annual Meeting, shall be held at the discretion of the President.

Section 3.
Elections.

There are no requirements for elections for the Littlerock Contest Club.

Section 4.
Nominations.

Not Applicable

ARTICLE V
Committees

Section 1.
The Board may each year appoint standing committees to advance the work of the club in such matters contest participation, membership and other fields which may well be served by committees. Such committees shall always be subject to the final authority of the Board. Special committees may also be appointed by the Board to aid it on particular projects.

Section 2.
Any committee appointment may be terminated by the Board upon verbal or written notice to the appointee; and the Board may appoint successors to those persons whose services have been terminated.

ARTICLE VI
Discipline

Section 1.
American Kennel Club Suspension.
Any member who is suspended from the privileges of the American Radio Relay League automatically shall be suspended from the privileges of this club for a like period.

Section 2.
Expulsion.

Expulsion of a member from the club may be accomplished only by direction of the President. The defendant shall have the privilege of offering a written explanation in his/her own behalf. The President shall have the final say as to whether the member is expelled or reinstated.

ARTICLE VII
Amendments

Section 1.
Amendments to the constitution and bylaws may be proposed by the Board of Directors or by written petition addressed to the Secretary-Treasurer. Amendments proposed by such petition shall be promptly considered by the Board of Directors.

Section 2.
The Constitution and Bylaws may be amended by sole action of the President.

ARTICLE VIII
Dissolution

Section 1.

The club may be dissolved at any time by the consent of the President.
ARTICLE IX
Order of Business

Section 1.
At meetings of the club, the order of business, so far as the character and nature of the meeting may permit, shall be as follows:

  • Roll Call
  • Minutes of last meeting
  • Report of President
  • Report of Secretary-Treasurer
  • Reports of committees
  • Unfinished business
  • New business
  • Adjournment
Section 2.
At meetings of the Board the order of business, unless otherwise directed by majority vote of those present, shall be as follows:
  • Reading of minutes of last meeting
  • Report of Secretary-Treasurer
  • Reports of committees
  • Unfinished business
  • New business
  • Adjournment
ARTICLE X
Parliamentary Authority

Section 1.
The rules contained in the current edition of "Robert's Rules of Order, Newly Revised," shall govern the club in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any other special rules or order the club may adopt.
