ARTICLES OF INCORPORATION
OF
TEXAS SOUTHMOST AMATEUR RADIO CLUB, INCORPORATED

We, the undersigned natural persons of the age of twenty-one years or more, at least two of whom are citizens of the State of Texas, acting as incorporators of a corporation under the Texas Non-Profit Corporation Act, under the direction of the Board of Directors, do hereby adopt the following Articles of Incorporation for such corporation:

ARTICLE ONE:

The name of the corporation is TEXAS SOUTHMOST AMATEUR RADIO CLUB, INCORPORATED.

ARTICLE TWO:

The corporation is a non-profit corporation.

ARTICLE THREE:

The period of its duration is perpetual.

ARTICLE FOUR:

The purpose or purposes for which the corporation is organized are:

1. To promote interest in and to further the principles and ideals of amateur radio as outlined by the American Radio Relay League;

2. To assist and advise those persons interest in obtaining an amateur radio license.

3. To assist in the compliance by members with all rules, regulations and laws now in effect or as may hereafter be enacted by Congress and executed by the Federal Communications Commission relative to licensing and operating of amateur radio stations.

4. To promote interest in the design and construction of radio equipment and devices, both conventional and experimental, within the limitation of the club and Federal laws governing amateur radio.

5. To assist the civil authorities when called upon, within the capabilities of the club, with emergency or special communications services or by supporting a practice emergency net.

ARTICLE FIVE:

The street address of the initial registered office of the corporation is  La Feria, Texas and the name of its initial registered agent at such address is Thomas A. Tanner Sr.

ARTICLE SIX:

The number of directors constituting the initial board of directors of the corporation is (3) three and the names and addresses of the persons who are to serve as initial directors are:

ARTICLE EIGHT:

Anything to the contrary not-withstanding, the purpose or purposes for which this corporation is organized are limited to such as will qualify it as an exempt organization under the Internal Revenue C § 501 (c) (3), including, for such purposes, the making of distributions to organizations that qualify as tax-exempt organizations under the said code.

This corporation shall not, as a substantial part of its activities, carry on propaganda or otherwise attempt to influence legislation. This corporation shall not participate in or intervene in (including the publishing or distributing of statements) any political campaign on behalf of any candidate for public office.

No part of the net earnings, properties, or assets of this corporation, on dissolution or otherwise, shall ensure to the benefit of any private person or individual or any member or director of this corporation and on liquidation or dissolution all properties and assets of this corporation remaining after paying or providing for all debts and obligations shall be distributed and paid over to such fund, foundation, or corporation organized and operated for charitable or religious purposes as the board of directors shall determine and as shall at the time qualify as a tax-exempt organization under Internal Revenue C § 501 (c) (3), or as the same may be amended.
