BRAZOSPORT AMATEUR RADIO CLUB CONSTITUTION
  ARTICLE I - NAME, PURPOSE AND AFFILIATION Top

SECTION 1:

This organization shall be known as the Brazosport Amateur Radio Club, Inc. and shall hereafter be referred to in this document as the "Club."

SECTION 2:

This Club shall be a non-profit organization, whose primary purpose is to establish a non-commercial communication system to be used as a public service as required. The Club and its members shall voluntarily furnish their skill and equipment to provide emergency, disaster, and civil defense communications whenever needed. The Club is also dedicated to promote interest in the art of Amateur Radio, and to encourage proper operation in accordance with Regulations of the Federal Communications Commission.

SECTION 3:

The Club will cooperate with Emergency Management Organizations of Brazoria County, and other welfare or charitable organizations recognized and approved by the Board of Directors.

  ARTICLE II - MEMBERSHIP

SECTION 1:

Membership shall be composed of 3 classes: Full, Associate, and Inactive.

SECTION 2:

Full membership shall be extended to any licensed amateur radio operator upon payment of annual dues and expression of willingness to abide by the Articles of Incorporation, Constitution, and By-Laws.

SECTION 3:

Associate members are required to have only an interest in Amateur Radio and a willingness to abide by the Articles of Incorporation, Constitution and By-Laws. Associate members shall pay dues, will have voting privileges, and be eligible to participate in all club activities.

SECTION 4:

Termination of membership for cause shall be by a vote of three-fourths of the voting members present. Cause for termination shall be for any of the following:

A. No member shall, without prior approval of the Club, represent or obligate the Club or any other member in any fashion. Violation of this rule shall be considered cause for automatic review by the Board of Directors who shall then make a recommendation for action.
B. Any member who conducts himself in a manner detrimental to the Club or amateur radio in general shall be considered for expulsion from the Club by the Board of Directors who shall then make a recommendation for action.

SECTION 5:

Any member may become an inactive member of the Club upon written notification to the Secretary. Inactive membership is for persons who, for whatever reason, will not be able to attend meetings or Club activities for a period of six months or more. An inactive member may become a full or associate member by payment of dues, starting with the month he returns to this status. Any dues not used when the member becomes inactive will be credited when the member becomes active again.

  ARTICLE III - BOARD OF DIRECTORS Top

SECTION 1:

The Board shall consist of 5 members including the Trustee.

SECTION 2:

The Board, with the exception of the Trustee, shall be elected by the vote of the membership, from a slate nominated by the Nominating Committee. The term of these Board members shall be one year. The Board members may be re-elected.

SECTION 3:

The Board shall appoint the Trustee and the term of office shall be 5 years. This appointment may be renewed. The Trustee shall be a permanent member of the Board for the duration of his office.

SECTION 4:

In the event of the resignation or other removal from office of a member of the Board, the Board shall then select and appoint a member to fill the remaining term of that Director.

SECTION 5:

The Board shall be empowered to conduct the financial and organizational business of the Club.

SECTION 6:

The Board shall be empowered to disburse funds, to appoint committees, to process proposed By-Laws amendments and submit to the membership for voting, and to hold elections.

SECTION 7:

A quorum of the Board to conduct business shall be a majority of its members.

SECTION 8:

The membership shall be kept informed of the actions of the Board.

SECTION 9:

Board members may be removed from office by a majority vote of the entire membership.

  ARTICLE IV - DUTIES OF OFFICERS Top

SECTION 1:

The PRESIDENT shall preside at all membership meetings of this Club and conduct the same according to the rules adopted. He shall enforce due observance of the Articles of Incorporation and the By-Laws; decide all questions of order; sign all official documents that are adopted by the Club and none other; and perform all other customary duties pertaining to the office of President. He shall have the power to appoint special, permanent, or ad Hoc committees.

SECTION 2:

The VICE-PRESIDENT shall assume all of the duties of the President in his absence and serve as program chairman.

SECTION 3:

The SECRETARY shall keep a record of the proceedings of all meetings; keep a roll of members; carry on all correspondence; read appropriate communications at each meeting; maintain the Articles of Incorporation and By-Laws, as amended, of the Club, shall cause all amendments, changes, additions and deletions to be noted thereon; and to have a copy of each with him at every meeting, available for inspection by members. He shall, at the expiration of his term of office, turn over all records belonging to the Club to his successor.

SECTION 4:

The TREASURER shall receive and receipt for all monies paid to the Club. He shall keep an accurate account of all monies received and disbursed. He shall pay no bills without proper authorization of the Club or its officers. At the end of each quarter he shall submit an itemized statement of disbursements and receipts to the Club's officers and Board of Directors. He shall make such statements available for inspection by members. At the expiration of his term of office, he shall turn over everything in his possession belonging to the Club to his successor.

SECTION 5:

The TRUSTEE shall be responsible for the Club's amateur radio station license and Club-owned radio equipment. He shall be at least 21 years of age, a resident of Brazoria County, Texas, and a holder of a valid amateur radio license of General, Advanced, or Extra Class, and shall serve a term of five (5) years. In the event of disbandment of the Club, the Trustee shall audit the books of the Club, settle all financial obligations of the Club, and donate the remaining assets of the Club to a non-profit charitable organization selected by the Board.

SECTION 6:

The offices of Secretary and Treasurer will be the same Director and will be referred to as the Secretary/Treasurer.

SECTION 7:

The TREASURER shall be insured by an adequate surety bond at the Club's expense when required by the Board of Directors.

  ARTICLE V - OFFICERS Top

SECTION 1:

The Board shall have the power as a Committee-of-the-Whole, in which all of the members of the Board share the duties of the usual officers.

SECTION 2:

The Board may select officers from within itself if they deem that to be appropriate. The officers shall include President, Vice-President, Secretary/Treasurer, and Director-At-Large.

SECTION 3:

The duties of such officers shall be as delineated in Article IV.

  ARTICLE VI - AMENDMENTS Top

SECTION 1:

Proposals for Amendment shall be submitted in writing to the Board and read at a regularly scheduled meeting of the membership. Such proposals shall then be voted on at the next regularly scheduled meeting of the membership.

SECTION 2:

Amendments shall be enacted by a three-fourths vote of the members present.

  ARTICLE I - MEETINGS Top

SECTION 1:

Membership meetings shall be held at least once per quarter at a time and date selected by the Board.

SECTION 2:

A quorum of at least ten (10) full members shall be required to open a regular meeting for the transaction of business.

  ARTICLE II - DUES Top

SECTION 1:

Dues shall be established or changed by two-thirds vote of members present.

SECTION 2:

Dues shall be effective for 12 months from January 1 and may be prorated for each month from that date for new members. Any dues paid after the first of the month shall be calculated based on the first of that month.

SECTION 3:

Where a family has more than one licensed amateur holding full membership, after one member has paid the regular dues assessment, each member thereafter will be assessed dues at a reduced rate.

SECTION 4:

Membership terminates upon expiration of dues.

  ARTICLE III - AMENDMENTS Top

SECTION 1:

Proposals for amendments shall be submitted in writing to the Board and read at a regularly scheduled meeting of the membership. Such proposals shall then be voted on at the next regularly scheduled meeting of the membership.

SECTION 2:

The By-Laws may be amended, Amendments shall require enactment by a majority vote of the members present.

  ARTICLE IV - FINANCIAL Top

SECTION 1:

All monies will be maintained in an authorized bank account for the Club.

SECTION 2:

All checks issued by the Club must be signed by 2 members of the Board.

SECTION 3:

The Club's accounting year will be a fiscal year beginning on January 1st and ending on December 31st of each year.

SECTION 4:

The Club's accounting records will be maintained on the cash basis of accounting.

SECTION 5:

The Club accounting records will be audited at the end of each fiscal year by a committee appointed by the Board, and report shall be made to the Board of Directors and Club Membership.

  ARTICLE V - GENERAL PROVISIONS Top

SECTION 1:

Proceedings shall be governed by Robert's Rules of Order, latest revision.

SECTION 2:

Membership in the Club is not a prerequisite for use of Club-owned radio equipment.

Revision of the Original Constitution and By-Laws adopted by the membership at the December 15, 1998 meeting.
