CONSTITUTION AND BY-LAWS OF THE KEY CITY AMATEUR RADIO CLUB
ABILENE, TEXAS
PREAMBLE: We, the members, wishing to secure for ourselves the pleasures
and benefits of Amateur Radio, constitute ourselves the Key
City Amateur Radio Club (KCARC) and enact this constitution
as our governing law. It shall be our purpose to further the
exchange of information and cooperation between members; to
promote radio knowledge, fraternalism and individual operating
efficiency; to conduct club programs and activities to advance
the general interest and welfare of amateur radio; and to
provide service to the community.
MEMBERSHIP: ARTICLE I
All individuals interested in amateur radio communication
shall be eligible for membership.
OFFICERS: ARTICLE II
Section 1. The officers of this club shall be: President,
Vice-President, Secretary, and Treasurer.
Section 2. The officers of the club shall be elected for a
term of one year, by a majority vote of the ballots cast.
Section 3. Vacancies occurring between elections must be
filled by a special election at the second regular monthly
meeting following the vacancy.
Section 4. Officers may be removed by a three-fourths vote
of the members present at a regular or special meeting.
DUTIES OF
OFFICERS: ARTICLE III
Section 1. The President shall preside at all meetings of the
club, and conduct them according to the rules adopted. He/She
shall enforce due observance of the Constitution and By-Laws;
decide all questions of order; sign all official documents that
are adopted by the club, and none other; and perform all other
customary duties pertaining to the office of President.
Section 2. The Vice-President shall perform all duties of the
President in the absence of the latter.
Section 3. The Secretary shall keep a record of the proceedings of
all meetings; keep a roll of members; carry on all correspondence;
read communications at each meeting; and mail written meeting
notices to each member.
Section 4. The Treasurer shall receive and receipt for all monies
paid to the club; shall keep an accurate account of all monies
received and expended; and shall pay no bills without proper
authorization. All checks issued by the club shall be signed by
two of the four officers. The Treasurer shall publish in the
Newsletter an itemized statement of receipts and disbursements.
MEETINGS: ARTICLE IV
The By-Laws shall provide for regular monthly and special meetings.
At meetings, a minimum of one-fifth of the paid full membership
shall constitute a quorum for the transaction of business.
DUES: ARTICLE V
The club, by majority vote of those present at any regular meeting,
may levy upon the general membership such dues or assessments as
shall be deemed necessary for the business of the organization
within its objectives - as set forth in the preamble.
MEMBERSHIP
ASSISTANCE. ARTICLE VI
The club shall enact appropriate rules to minimize interference in
operation between stations of its members, and it shall formulate
adequate plans for disposition of any cases of interference to
other radio services where reported as caused by any amateur station
operation in the area of club jurisdiction. The club, through
designated committees, will provide technical advice to members
concerning equipment design and operation to assist in frequency
observance, clean signals, uniform practice, and the absence of
spurious radiations from club member stations. The club shall
also maintain a program to foster and guide public relations.
AMENDMENTS: ARTICLE VII
This Constitution may be amended by a two-thirds vote of the total
membership. Proposals for amendments shall be submitted, in writing,
at a regular meeting and shall be voted on at the next following
regular monthly meeting, provided all members have been notified
by mail of the intent to amend the Constitution.
RULES: ARTICLE VIII
Robert's Rules of Order shall govern all proceedings.
BY-LAWS
1. SECRETARY. It shall be the duty of the Secretary to keep copies of the
Constitution and By-Laws of the club and have them at every
meeting. The Secretary shall cause all amendments, changes
and additions to be noted thereon and shall permit them to be
consulted by members upon request. The Secretary shall provide
a copy of the Constitution and By-Laws to each member.
2. MEMBERSHIP. Full Membership is open to licensed amateurs.
Associate Membership is open to other interested persons.
Full Membership includes the right to hold a club office,
to vote for club officers, and to participate in club activities.
An Associate Member may participate in all club activities, but
may not hold an office or vote in elections.
3. MEETINGS. Regular meetings shall be held on the second Monday night of each
calendar month at such place as the President shall order. Special
meetings may be called by the President upon the written request of
any five (5) full club members. Notices shall be sent to members
concerning special meetings and the business to be transacted. Only
such business as designated shall be transacted. Such notices shall
be sent not less than seven (7) days prior to the meeting.
4. DUES. In accordance with the provisions of Article V of the Constitution,
for the purpose of providing funds for current expenses, the annual
dues shall be voted on at the regular January monthly meeting.
The classification of dues shall be:
A. Full Membership
B. Associate Membership
C. Second Family Member
D. Additional Family Members
E. Repeater Privilege
F. Handicapped Membership (Exempt Repeater Dues)
G. Senior Citizens (65+) (Exempt Repeater Dues)

5. COMMITTEES. Additional By-Laws may provide for standing or special committees,
as the club shall deem necessary.
6. ELECTIONS. Nominations for club officers shall be made by full members from
the floor at the regular October meeting. The election shall be
held at the regular November meeting. Notice of election, nominees,
and absentee ballots shall be mailed to the total membership not
later than seven (7) days after the October meeting. Absentee
ballots must be mailed in to the Secretary not less than seven (7)
days prior to the regular November meeting.
7. AMENDMENTS. The By-Laws may be amended by a two-thirds vote of the members
present at a regular monthly meeting.
8. DISBANDMENT. In the event that it is necessary for the club to disband, the
President of the club, at that time, and the other officers shall
dispose of funds, equipment, and/or other club assets to (an)
individual(s) or (an) organization(s) that have an interest in
actively furthering the purposes of amateur radio.

and By-Laws at the August 12, 1991 meeting, reads as follows:
