CONSTITUTION OF THE
ATCHAFALYA AMATEUR DX ASSOCIATION

Preamble:

       We, the undersigned, wishing to secure for ourselves the pleasures and benefits of an association of persons commonly interested in Amateur Radio, constitute ourselves the Atchafalya Amateur DX Association (AADXA) and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the community and for the community.

MEMBERSHIP
ARTICLE I
    1.   All persons interested in Amateur Radio shall be eligible for membership. Membership shall be by application and upon such terms as set forth in the Association's By-Laws.

    2.   Membership can only be revoked by a 3/4 vote of the active membership present at a regularly scheduled meeting. Voting via radio or written proxy (witnessed by at least 1 active member other than the recipient of the powers) is acceptable.

    3.   The Above stated rules for revocation of a membership also apply to Elected Officers. No one individual is exempted.

OFFICERS
ARTICLE II

    1.  The officers of this association shall be: President, Vice-President, Secretary and Treasurer. The positions of Secretary and Treasurer have been combined as one.

    2.  The officers of AADXA shall be elected for a term of 1 year. The pool of nominations shall be selected either verbally or by written ballot during the monthly meeting in November. Elections will be held during the monthly meeting in December with newly elected officers beginning their term with the first meeting in January.

    3.  All persons nominated for an office will have 14 days from the date of nomination to accept or decline said nomination.

    4.  A 51% full membership in attendance will be considered a quorum. A 3/4 vote by such a quorum is required to elect an officer.

    5.  An Officer can be removed by a 3/4 vote of the active membership present at a regularly scheduled meeting. Voting via radio or written proxy (witnessed by at least 1 active member) is acceptable.

    6.  Vacancies occurring between elections must be filled by special elections at the first regular scheduled meeting following a withdrawal or resignation.

DUTIES OF AN OFFICER
ARTICLE III

    1.  The President shall preside at all of the meetings of this Association, and conduct them according to the rules adopted. He/She shall enforce due observance of this Constitution and By-Laws; decide all questions of order; sign all official documents adopted by the Association, and perform all other duties pertaining to the office of the President.

    2.  The Vice-President shall assume all the duties of the President in his/her absence. In addition, he/she shall organize club activities, plan and recommend contests for operating benefits, and advance Association interest and activity as approved by the Association, He/She shall maintain close liaison with the ARRL Section Emergency Coordinator to further club participation in the Amateur Radio Emergency Service, if so approved by the Association.
 

    3.  The Secretary/Treasurer shall keep a record of the proceedings of all the meetings, keep roll of members, submit membership applications, carry on all correspondence, read communications at each meeting, and mail written meeting notices to each member.
       He/She shall receive and receipt for all monies paid to AADXA;  keep an accurate account of all monies received and expanded; pay no bills without proper authorization; consisting of a 3/4 vote of a full membership or a 3/4 vote of the Elected Officers. At the end of each quarter he/she shall submit an itemized statement of disbursements and receipts. At the end of his/her term he/she shall turn over everything in his/her possession belonging to AADXA to his/her successor.

  MEETINGS
ARTICLE IV

       The By-Laws shall provide for regular and special meetings. At meetings, a minimum of 1/3 of the full paid membership shall constitute a quorum for the transaction of business.

DUES
ARTICLE V

       The Association, by majority vote of a quorum present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization. Non-Payment of such dues or assessments shall be cause for and result in the expulsion of that member(s) from the Association within the discretion of the membership.  Yearly membership dues are $12.00 per calendar year.

MEMBERSHIP ASSISTANCE
ARTICLE VI

       The Association, through designated Interference, Repeater, Public Relations and Operating Committees, will provide technical advice to members concerning equipment design and operation to assist in frequency observance, clean signals, uniform practice, and absence of spurious radiations from Association member-stations. The club shall also maintain a program to foster and guide public relations.

 AMENDMENTS
 ARTICLE VII

       This constitution or the By-Laws may be amended by a two-thirds vote of the total paid membership. Proposals for the amendments shall be submitted in writing at a regular meeting and shall be voted on at the following regularly scheduled meeting, provided all members have been notified by mail of the intent to amend the constitution and/or By-Laws at said meeting.
