CONSTITUTION



Article I. Name and Purpose

Section 1. This organization shall be known as the Western DX
Association. The Radio Amateur Callsign is "K6YD".

Section 2. The Western DX Association consists of a specialized group of
Radio Amateur Operators with a narrow focus on "DX'ING"...The
reaching out, contacting and talking with Radio Amateurs' in other
countries. The Western DX Association is interested in Amateur Radio,
organized for the promotion of and interest in Amateur Radio's
long distance (DX) communications, the experimentation and education in the
art of antenna construction, long distance radio propagation, and operating
techniques to achieve this interest.

The Western DX Association is a relatively new association. It was
founded in May of 1997 by N6XD, William T. Allen, Jr. in Oxnard,
California.

Article 2. Qualification of Members

Section 1. Full membership shall be open to any licensed Radio Amateur,
World wide, regardless of DXCC status.

Section 2. Full members must posses a valid Amateur Radio Operator's
License and agree to abide by the constitution and by-laws
of WDXA.

Section 3. Any Amateur desiring to become a member shall apply thru a
membership application thru any Board of Directors Member. The Board
Member shall then verify the application and then send it to the
Treasurer who will receive dues payment and forward the application
to the Membership Chairman.

Section 4. Those members who attended the May,1997 meeting are deemed
to be Charter Members.

Section 5. Honorary life membership may be granted to member or
non-member amateurs as deemed fitting by the Association for meritorious
service rendered to the DX fraternity or the WDXA. Honorary Life
membership candidates will be elected by two thirds majority vote of
members present at a designated meeting

Section 6. All dues-paying and Subscription members shall receive the
Association's Newsletter. Honorary Life and Charter Members shall receive
Association's Newsletter at their request.

Section 7. Only paid up, full members, honorary life members and charter
members shall have the right to vote and/or to serve as an officer
or director.

ARTICLE 3 : Officers and Duties

Section 1. The officers of the Association shall consist of: A President,
Vice President, Secretary, Treasurer and Membership Chairman. All
officers and directors shall be elected by a secret ballot at the
regular January meeting. They shall hold office for a term of one
year. No office shall be held by the same officer for more than
2 years in a row.

Section 2. There shall be a governing body known as the Board of Directors
consisting of the President, Vice-President, Secretary, Treasurer,
Membership Chairman and (3) Directors, two of whom are elected by the
membership. The President automaticallybecomes the third Director
at the end of his term. The term of office for directors
shall be (1) year. The Editor of the DX Newsletter is appointed by
the President with the approval of the Board, shall be voting
members of the Board of Directors.

Section 3. The membership committee shall consist of the Board of Directors.

Section 4. It shall be the responsibility of the Board of Directors to
develop and approve a budget for the current year.

Section 5. The Board of Directors shall nominate one or more candidates
for each officer which together with nomination from the floor at
the election meeting constitute the ballot for the election for
the next term.

Article 4. Meetings

Section 1. The Association shall meet on the second Tuesday of each month,
Holidays excepted, at a suitable location selected by the officers
or a delegated committee. Meetings may be closed to visitors as
the occasion requires. The membershipmay, by a two-thirds
majority vote of members present at a meeting, change the meeting
night, after 15 days written notice to the general membership.

Section 2. The meetings shall consist of the necessary business, conforming
to Roberts Rules of Order and an appropriate program of interest to
the members.

Article 5. Amending the Constitution

Section 1. Except as herein otherwise provided, all amendments shall be
proposed by the board of directors or by a written petition to
the Secretary having the signatures of at least five (5) voting
members. The Secretary shall mail to each voting member the proposed
amendment not less than 15 days prior to the next regular meeting.
The constitution or the By-Laws may not be amended except by a
two-thirds majority of the voting members present and voting.

Section 2. The Board of Directors may order a mail ballot for any proposed amendment.
The ballots shall be counted at the next regular meeting.

BY-LAWS OF THE WESTERN DX ASSOCIATION

Article A: DUES

Section 1. Dues for all members shall be the same.

Section 2. Dues for new members only shall be pro-rated according to the month
joining.

Section 3. The amount of dues shall be determined by a majority vote of
the voting members at a regular meeting after a minimum of fifteen (15)
days written notice of a proposed dues change by the Board of
Directors.

Section 4. Additional family members living at the same address will be
assessed one half of the annual dues and receive one Newsletter
per address.

Section 5. Honorary life, Charter members and current Board of Directors shall
not be charged annual dues.

Section 6. Dues shall be waived for school students under the age of 18 and
members of the United States Military Services on active duty.

Section 7. Any member delinquent in dues after March 31 of the current year
shall be notified by mail. If the dues are not paid within thirty
(30) days after notification,membership will be terminated.

Article B: DUTIES

Section 1. The duties of the officers together with the conduct of the business
meetings shall conform to Roberts Rules of Order.

Article C: IMPEACHMENT

Section 1. Any officer or director may be impeached by a two-thirds
majority vote of thevoting members at a regular meeting. Notice
of the impeachment shall be proposed by the Board of Directors
or by written petition to the Secretary by at least five (5)
voting members. The Secretary shall mail a copy of the impeachment
charges to that person sought to be impeached. Said person shall
have fifteen (15) days to respond to the Secretary in writing.
The Secretary shall mail to each voting member a copy of the petition
and response within fifteen (15) days of the next regular meeting.
The Board of Directors may order a written mail ballot to
be counted at the next regular meeting. That person discussed,
may address the membership prior to the vote of the membership.

Section 2. Any vacancy during the term of office shall be filled by the Board
of Directors.The President may assign or reassign appointments
or representatives (Not Directors) ofthe Association as deemed
necessary to ensure smooth operation and conformity to the Constitution:
1. In an emergency situation where time is waved to
ensure the integrity ofand smooth operation of the Association.

Section 3. Any major changes to the Constitution, Callsign, or anything major
to the Association can only be achieved through a two-thirds
(2/3) vote of thepresent members voting.

Article D: MEMBERSHIP TERMINATIONS

Section 1. The membership of any member of the Western DX Association
may be terminated according to the following procedure:

A petition requesting the removal of said member and including the signatures
of at least five (5) members of the current voting membership membership should be terminated. The Secretary shall notify the charged member in writing. The charged
member may respond in writing within fifteen (15) days to the secretary.

The board of directors shall announce the conditions of the petition at
the next general meeting and that a vote will be held to decide the
petition. The member whose termination has been requested shall
be given the opportunity to defend himself at a regular meeting
prior to the vote. Removal of the member from the Western DX
Association shall then require a two-thirds (2/3) majority vote
of the voting members present at the designated meeting.
