This organization shall be known
as the Texins Amateur Radio Club.
The Texins Amateur Radio Club has
as its objectives the following:
1. Recreation and promotion of fellowship
among employees with similar hobby interests.
2. Advancement of knowledge of members
in the TI employee family and spreading of interest in amateur
radio by teaching radio theory and code.
3. Representation with local Civil
Defense organizations in order to make the facilities and membership
of the club available as a trained emergency communications group.
4. Promote the interest of Texas
Instruments through on-the-air discussions with other amateurs.
Membership in the Texins Amateur
Radio Club shall be opened to all active, disabled, or retired
employees of Texas Instruments Incorporated and members of their
families interested in amateur radio communications.
All membership shall be subject
to such dues, rules and regulations as may be prescribed by the
Club in its By-laws. Violation of any provision of this Constitution
or By-laws as made in pursuance thereof shall subject such member
to be expelled from the club on motion of any other member in
a regular meeting and confirmed by the majority vote of members
present, a quorum being present.
One-half of the membership of the
Club or ten members, whichever is smaller, shall constitute a
quorum for the conduct of business.
Robert's Rules of Order, Revised
shall govern all deliberations of this organization, except where
such rules are in conflict with this Constitution. Except where
otherwise provided in this Constitution, a simple majority vote
of members present shall be sufficient to carry any motion, a
quorum being present.
The officers of this Club shall
consist of a President, a Vice-President, a Secretary-Treasurer,
and a Station Trustee. All officers must be active employees
of Texas Instruments Incorporated.
All officers shall be elected by
majority vote of members present, a quorum being present. The
voting shall be by secret ballot, with each member present being
entitled to one vote.
The President, Vice-President, and
Secretary -Treasurer shall be elected at the regular meeting in
November, and shall take office at the conclusion of that meeting.
The Station Trustee shall hold an indefinite term of office.
All members in good standing who
are active employees of Texas Instruments Incorporated shall be
eligible for election as officers.
An office shall be declared vacant
when the officer announces his resignation, terminates active
employment with Texas Instruments Incorporated, or absents himself
from three (3) successive meetings, or is removed from office.
Vacancies occurring between elections
must be filled temporarily by appointment of the person holding
the highest elective office.
For this purpose, the order of priority
of elective offices is: President, Vice-President, Station Trustee,
Secretary-Treasurer.
Nominations for a permanent replacement
of the appointed officers shall be made at the first regular meeting
following the vacancy. The election shall be held at the next
regular meeting following nominations.
In the event that all elective offices
are vacant, the membership shall elect a chairman to take nominations
for successors to all offices and an election shall be held at
that meeting.
Any officer may be removed from
office at any regular meeting on motion from the floor, by a two-thirds
majority vote of members present, a quorum being present. Voting
shall be by secret ballot, with rach member entitled to one vote.
The President shall represent the
membership in dealing with the Texins Recreation Committee, and
where necessary, with the management of Texas Instruments Incorporated.
The President shall be a licensed Amateur Radio Operator.
The President shall preside at all
meetings of this club, and conduct the same according to the rules
adopted. He shall enforce the due observance of the Constitution
and By-laws, decide all questions of order, sign all official
documents that are adopted by the club and none other, and perform
all customary duties pertaining to the office of the President.
He shall be a member ex-officio of all committees.
The Vice-President shall be a licensed
Amateur Radio operator with General Class (or higher) license.
He shall assume the duties of President in the absence of the
elected President, and shall be head of the Technical Committee,
which is responsible for the maintenance of the Station and equipment
as described in Article I of the By-laws.
The Secretary-Treasurer shall be
responsible for maintenance of all Club records, histories, and
correspondence, as well as handling all financial responsibilities
of the Club. A full oral and/or written report of the Club's
financial status shall be presented at the first meeting of each
quarter, unless otherwise requested by the President. The Club's
financial records shall be made available to the Texins Recreation
Committee whenever requested. He shall also serve as Club Parlimentarian.
He shall at the expiration of his term, turn over all items belonging
to the Club to his successor.
The Station Trustee shall be a licensed
Amateur Radio operator holding an Amateur Extra Class license.
The Station Trustee shall have full responsibility for the proper
operation of the station which will be located at the Texins Activities
Center. The Trustee shall have full custody of the equipment
and shall be responsible for compliance with Federal Communication
Commission Rules and Regulations. He shall be a member of the
Administrative Committee and a member of the Technical Committee.
At the final meeting of each calendar
year, the President shall appoint a committee of three members
to audit all financial transactions of the past year. The Secretary-Treasurer
shall make available to all the committee all financial records
in his possession. A comprehensive audit shall be made by the
committee and a detailed report in writing made to the Club at
the regular meeting in January with a copy to Texins Association.
By-laws in pursuance of this Constitution
shall be passed on motion from the floor at any regular or special
meeting, by a simple majority of members present, a quorum being
present.
All by-laws shall be in writing
and shall become a permanent part of the records of the Club.
By-laws may be amended or repealed
on motion from the floor at any regular or special meeting, by
a simple majority of members present, a quorum being present.
Any by-laws passed in conflict with
the provisions of this Constitution shall be void and of no force
and effect. A committee of all the officers (the Administrative
Committee) or other agency created by the Club for this purpose,
by majority vote of its total membership, shall have authority
to determine whether or not such conflict exists.
This Constitution and all changes
subsequent must be approved by Texins Association Board of Directors
before they take full force and effect. This includes dues changes.
This Constitution shall be amended
only by written submission in a regular meeting on motion from
the floor, and passage at the next succeeding regular meeting
by a two-thirds majority vote of the members present, a quorum
being present; and shall not become effective until one day after
the next succeeding regular meeting of the Club following the
regular meeting at which passage was obtained, subject to Texins
Association Board of Directors approval. All members shall be
notified by mail of the intent to amend the Constitution at said
meeting.
A two-thirds majority vote of members present, a quorum being present, at any regular meeting shall be sufficient to give this Constitution full force and effect, subject to Texins Association Board of Directors approval, at which time it shall be signed by the President, counter-signed by the Secretary-Treasurer, and delivered to the Secretary-Treasurer for retention as a permanent record of the Club. The Secretary-Treasurer shall record in the minutes as a permanent record of the Club the names of all members voting for adoption, all members voting against adoption, and all members not voting.
