AMD Austin Amateur Radio Club
CONSTITUTION
ARTICLE I
Name and Purpose
Sec. 1 The name of this organization is the Advanced
Micro Devices Austin Amateur
Radio Club (hereafter called AMDAARC or the club).
Sec. 2 The purposes for which this club is organized are:
- To provide an organization for the employees
of AMD Austin and their families which promotes the goals of
the amateur Radio Service as described in Part 97.1 of the Federal
Communications Commission (FCC) Regulations.
- To provide communications support to fellow
AMD employees and the greater Texas community in times of natural
disaster or other emergencies.
- To promote personal and professional growth
through individual training and group interaction which contributes
to the advancement of the state of the art in radio, communications
and electronics.
- To promote goodwill through radio communications
to the local,
national, and international communities.
ARTICLE II
Membership
Sec. 1 All persons interested in amateur radio communications
between amateur stations solely with a personal aim and without
pecuniary interest shall be eligible for membership. Membership
shall be by
application and upon such terms as the club by-laws
shall provide.
ARTICLE III
Officers
Sec. 1 The officers of this club shall be President,
Vice President, Secretary and Treasurer. These officers shall
be full members of the club and elected for a term of one year.
Sec. 2 A nominating committee shall be appointed
by the President at the September meeting to select a proposed
slate of officers. At the November meeting the committee shall
report the names of at least one person for each office. The
President shall then call for nominations from the floor for each
office singly, followed by a secret ballot for each office. Officers
shall be elected by a majority vote of the members present. The
officers will be installed at the January meeting.
ARTICLE IV
Duties of Officers
Sec. 1 The President shall preside at all club meetings
and conduct the same according to the rules adopted. The President
shall enforce due observation of this Constitution and By-laws
and decide all questions of order. The president shall sign all
official club documents upon adoption by the club. The president
shall also perform all other customary duties pertaining to the
office of President.
Sec. 2 The Vice President shall assume all duties
of the president in the absence of the latter. The Vice President
shall organize club membership activities, plan and recommend
contests for operating benefit, advance club interest and activity
as approved by the club. The Vice President may appoint committees
or assistants to aid him/her in specific branches of activity.
Sec. 3 The Secretary shall record minutes of all
meetings, keep a roll of all members, submit applications for
membership, carry on all correspondence, read communications
at each meeting, and mail meeting notices to each member. The
Secretary shall at the end of his/her term, turn over all club
items to his/her successor.
Sec. 4 The Treasurer shall receive a receipt for
all moneys paid to the club, keep an accurate account of all
moneys received and spent. The treasurer shall pay no bills without
proper authorization. At the end of each month he/she shall submit
a statement of disbursements and receipts. The Treasurer shall
at the end of his/her term, turn over all club items to his/her
successor.
ARTICLE V
Executive Board
Sec. 1 The Executive Board shall consist of the
elected officers, the immediate Past President and the chair
persons of the Standing Committees. Meetings shall be convened
as required but as a minimum quarterly. The Board shall present
a yearly budget to the members at the march meeting each year
and be responsible for other policies as required.
ARTICLE VI
Committees
Sec. 1 The Executive Board may create Special Committees
for specific purposes. Upon completion of their assignment(s)
these committees shall be automatically dissolved.
Sec. 2 The Executive Board is authorized to establish
Standing Committees and nominate chair-persons as required. Chairpersons
shall be voting members of the board and be approved by a majority
vote of the members present at a regular meeting.
ARTICLE VII
Meetings
Sec. 1 The by-laws shall provide for regular and
special meetings.
Those members attending meetings shall constitute
a quorum for the transaction of club business.
ARTICLE VIII
Dues
Sec. 1 The Club by a two thirds majority of those
present at any regular meeting may levy upon the membership such
dues as shall be necessary for the business of the organization
within its purposes, as set forth in Article I, Sec. 2
ARTICLE IX
Amendments
Sec. 1 The Constitution and/or by-laws may be amended
by two thirds majority of votes cast. Proposals for amendments
shall be submitted in writing at a regular meeting and voted on
at the next regular meeting by written ballot. Voting will proceed
only if all members have been notified by mail or verbal contact
of the proposal to amend the Constitution or by-laws at said
meeting.
ARTICLE X
Rules
Sec. 1 Robert's Rules of Order shall govern meeting
proceedings.
BY-LAWS
ARTICLE I
Membership Classes and Requirements
Sec. 1 Full Member
- Must be employed by (or retired from) AMD Austin
Division or any AMD Corporation subsidiary located in the Austin
Texas area.
Sec. 2 Associate member
ARTICLE II
Membership Privileges
Sec. 1 Full members are entitled to all club privileges.
Sec. 2 Associate members are non-voting members
entitled to all club privileges except as follows:
- holding elective office in the club
ARTICLE III
Membership Applications
Sec. 1 Must include information as specified by
the Secretary
ARTICLE IV
Membership Dues
Sec. 1 Membership dues will not be required at this
time. Membership of families in AMDAARC is encouraged, therefore
family membership shall be offered to both full and associate
members who wish to include their immediate family members in
the full range of amateur radio activities of the club. The supplemental
dues for family membership shall not be required. New member
dues shall be one half of the annual dues on or after 1 July,
for the balance of the calendar year.
Sec. 2 Future dues shall be paid in advance during
January of each year.
ARTICLE V
Club Officer Duties
Sec. 1 The President shall attend all official meetings
pertinent to the interests of the club.
Sec. 2 The Vice President shall be an EX-OFFICIO
member of all committees.
Sec. 3 The Secretary shall submit membership reports
as required to ACE. He/she shall issue up-to-date membership
cards to those members meeting the requirements established herein.
Sec. 4 The Treasurer shall submit financial reports
as required to ACE.
ARTICLE VI
Meetings
Sec. 1 Regular meetings (for the purpose of conducting
the club's business) are held during the second week of each
month unless otherwise arranged.
Sec. 2 Special meetings (for the purpose of dealing
with emergencies) may be called for (if required) by either the
Executive Board or the President.
ARTICLE VII
Expenditure of Club Funds
Sec. 1 The Treasurer shall be authorized to approve
and pay all budgeted expenditures.
ARTICLE VIII
Waiver
Sec. 1 Neither the AMD Austin Amateur Radio Club,
the AMD Corporation, the Club Officers, nor the individual Club
members shall be held responsible or liable for any injury, loss,
damage, or expense, sustained by members in connection with any
club activity.
ARTICLE IX
Amendments
Sec. 1 Must be presented in writing and properly
seconded at a business meeting.
Sec. 2 Require a two thirds majority vote of those
present and voting.
Sec. 3 Are voted on at a regular meeting following
the one at which they are presented providing that all members
have been notified of the intent to amend.
