Constitution and By-Laws of the Harris Amateur Radio Club: Preamble: We, the undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Amateur Radio do hereby constitute ourselves the Harris Amateur Radio Club and enact this constitution as our governing law. It shall be our purpose to provide a means of getting together licensed Amateur Radio operators and others having an interest in Amateur Radio, to exchange technical and operating information; assist those who are intending to take an examination for an Amateur Radio license; to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the community. ARTICLE I Membership: All Harris employees, retired Harris employees and/or members of their families and vendor on-site representatives interested in Amateur Radio communication* shall be eligible for membership. (Membership shall be by application and approval upon such terms as the club, by its by-laws, shall provide.) *i.e., Radio communication between Amateur Radio stations with a personal aim and without pecuniary interest. Membership: Membership shall be either as an Full Voting Member or as an Associate Member as defined by sections 1 and 2 of this article. Membership shall be by application and approval upon such terms as the club, by its by-laws, shall provide. Membership is for one (1) club year (July 1 - June 30) and is contingent upon timely payment of club dues and assessments (see Dues and Assessments, Article V). Section 1 - All Harris employees, retired Harris employees and/or members of their families and vendor on-site representatives interested in Amateur Radio communication* shall be eligible for Full voting Membership. Full Voting Membership affords the privileges of voting rights, an assigned autodial number on the club repeaters, the privilege of holding a club office, participation in all club activities, general use of club equipment, and subscription to the monthly club bulletin. For the purpose of club membership, a "retired Harris employee" shall be defined as any past Harris employee with at least 10 years of past employment with Harris. Past Harris employees with less than 10 years of Harris employment may become Full Voting Members provided they are sponsored in writing by two current members and the exception presented by the same general provisions as defined by Article VI (i.e., two-thirds vote, two weeks notice). Section 2 - Other individuals (not meeting the qualifications of a Full Voting Member) interested in Amateur Radio communication* shall be eligible for Associate Membership. Associate Membership shall be by application and approval by the current club officers. Associate Membership affords the privileges of participation in all club activities, general use of club equipment, and subscription to the monthly club bulletin. *i.e., Radio communication between Amateur Radio stations with a personal aim and without pecuniary interest. ARTICLE II Officers: Section 1 - The officers of the club shall be, General Chairman, Secretary, Finance Chairman, Activities Chairman, Field Day Chairman, Program Chairman, and Operations Chairman. Section 2 - The officers of this club shall be elected for a one year term of office by a ballot of the members. Elections shall be held in June, with nominations 30 days prior. Section 3 - Vacancies occurring between elections must be filled by special elections at the second regular meeting following the withdrawal or resignation. Section 4 - The General Chairman may call for an election for any committee chairmanship after presenting the reasons and the need to the membership. Section 5 - At any time, a majority of the committee chairman may call for a vote for a new General Chairman, after presenting reasons and need to the membership. Section 6 - The general membership may call for a vote of any committee chairman or the General Chairman at anytime by means of a referendum. ARTICLE III Duties of Officers: Section 1 - The General Chairman or his appointed designee shall preside at all meetings of this club and conduct the same according to the rules adopted. He shall enforce due observance of this Constitution and By-Laws deciding all questions of order; sign all official documents that are adopted by the club, and none other; coordinate with the Harris Special Services Committee(s) and perform all other customary duties pertaining to the office of General Chairman. He shall, at the conclusion of his term, turn over all items belonging to the club to his successor. Section 2 - The Secretary shall keep a record of the proceedings of all meetings; keep a roll of members; submit applications for membership; carry on all correspondence; read communications at each meeting; and edit, publish and mail the monthly club bulletin to each member. He shall, at the conclusion of his term, turn over all items belonging to the club to his successor. Section 3 - The Finance Chairman shall receive and keep an accurate account of all monies received and expended. He shall maintain the club bank account and shall make proper disbursements of club funds. He shall pay no bills without proper authorization (by the club or its officers constituting a business committee). At the end of each quarter he shall submit an itemized statement of disbursements and receipts. He shall, at the conclusion of his term, turn over everything in his possession, belonging to the club, to his successor. Section 4 - The Activities Chairman shall organize club social activities and advance club interest and activity as approved by the club and shall maintain a program to foster and guide public relations. He shall, at the conclusion of his term, turn over all items belonging to the club to his successor. Section 5 - The Field Day Chairman shall be responsible for planning, organizing and preparations for club participation in the annual ARRL Field Day exercise. He shall create a general awareness within the membership of the requirements for volunteer equipment and operators, generating a requirements list and seeking out individual participation of the members. He shall coordinate the Field Day planning with the ARRL to determine operational requirements, etc. He shall provide for completion and submission of the club entry within the prescribed time, and shall make a report to the club at the earliest possible time. He shall serve as custodian of any club owned equipment that is procured for the purpose of Field Day operation, and shall, at the conclusion of his term, turn over all items belonging to the club to his successor. Section 6 - The Program Chairman shall be responsible for providing a suitable program at each regularly scheduled club meeting. He shall strive to provide a variety of subjects related to Amateur Radio, exploration of electronics, the state of the art, and alternative communication modes. He shall seek to utilize the talents of the membership by encouraging their active participation through program presentations. He shall, at the conclusion of his term, turn over all items belonging to the club to his successor. Section 7 - The Operations Chairman shall be responsible for the operation and oversight of the club Amateur Radio Stations and Repeaters. He shall take all necessary steps to maintain proper, safe and legal operation of club equipment. He shall be responsible for the custody and accountability of all club station equipment and shall take such reasonable and prudent means as are necessary to repair and safeguard such property. He shall, at the conclusion of his term, turn over all items belonging to the club to his successor. ARTICLE IV Meetings: The By-Laws shall provide for regular and special meetings. If the membership has received a notice of such meeting two (2) weeks in advance of said meeting, then the membership in attendance at such meeting shall constitute a quorum for the transaction of business. Notice to the membership of meetings shall be sufficient if posted to membership in writing two weeks in advance of a scheduled meeting, or notice shall be sufficient to the membership if a meeting is scheduled at a regularly constituted meeting of the membership for the transaction of business. ARTICLE V Dues and Assessments: The club, per provisions stated under Amendments, Article VI, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization within its objectives, as set forth in the Preamble. Non-payment of such dues or assessments shall result in such penalties as may be stated in the By-Laws. Annual dues shall be collected in the first month of the club year (July) and shall be the same as the previous year unless amended per the provisions stated under Amendments, Article VI. ARTICLE VI Amendments: This Constitution or the By-Laws may be amended by a two-thirds (2/3rds) vote of the membership present at a properly constituted meeting, provided the membership shall have received notice of the intent to amend the By-Laws or Constitution at said meeting. Notice shall be sufficient if sent in writing to the membership at least two (2) weeks in advance of any scheduled meeting in which a vote shall be taken for amendment to the Constitution or By-Laws, or notice shall be sufficient if an amendment to the By-Laws or Constitution is proposed at a regularly scheduled meeting at least two weeks in advance of the time at which a vote shall be taken to amend the By-Laws or the Constitution.
