District 11 (BCARES) Board Mtg. 6/26/02



A meeting of the District 11 (BCARES) Board of Directors was held on Wed., 26 April 2002 from 18:30 to 21:30. The meeting was held at the Boulder Police Dept. The meeting was called to order by Jim Kubitschek, chairman. The following board members were present:

Absent were: RMVHFS - Len Koppl, OEM - Larry Stern, BCSO - Chuck Pringle.
Also in attendence were alternates, Steve Price, Doshia Kretke, Rick Clark and Jack Ciaccia.

The main purpose of tonight's meeting was to continue the review and revision of the By-Laws. The meeting on 10 June had gotten through about 1/2 of the proposed new By-Laws. Copies of the proposed by-laws were handed out. The preamble and articles 1 thru IV were covered in the 10 June meeting.

Dale Scott reported on his www. web research regarding the legal requirements for corp. by-laws. He reported that he also was able to download from the Colo Secy of State's web site the District 11 (BCARES) articles of incorporation and by-laws. JimK. reported that he had also been in contact with the ARRL/ARES legal dept, Marshall Quiat and Mike Morgan for assistance and suggestions on by-laws. At the previous meeting, the question was raised "is it legal to put a pre-amble with a statement of purpose in the by-laws?" Based upon Dale & Jim's research, the answer is "yes".

The issue of "dues" in the by-laws was decided to be a non-issue.

There was a major controversy this evening over some of the wording in the preamble section on "What we do:". The compromise reached was to delete the last 2 sentences in this section and replace them with "District 11 (BCARES) is not a law enforcement or fire fighting agency." We then proceeded to review the remainder of the proposed by-laws from article V to the end. The major change made was to break up the proposed office of Secretary / Treasurer into two offices, namely Secretary as one office and Treasurer as a seperate office. Article VII dealt with a "Corporate Seal". No one knew if we had a corp. seal or where it was stored. Dale was asked to research if we really needed a seal. The by-laws would be modified accordingly depending upon Dale's findings.

JimK. asked if anyone knew a ham lawyer that was a District 11 (BCARES) member or otherwise interested local lawyer to review our by-laws. Intent is to have a local lawyer get involved with the organization. Jack said that BARC's treasurer, Greg Schlender was a lawyer and he had reviewed other ham groups' legal documents. JimK. asked Jack to ask Greg if he would review our by-laws for legal correctness and would he be interested in joining District 11 (BCARES).

At the end of the meeting we discussed some other business. Pat Lambert observed that the Operations Manual is out of date and needs to be updated. Dale Scott said that now that we are finished with the by-laws, we now need to review all of our Memos of Understanding (MOUs) with our served agencies. JimA. announced that Cpt. Pringle approved the proposal to install 2 m band-pass filters in the com-van to help suppress the interference between various radios. Jack C. brought up the issue of "competing BCARES web sites". [No competition there - I have my pages on my site and Rich runs the "Official" site - pl] JimK. will contact Rich F. to discuss the issue.

Jack, Pat & JimK. said they have several new potential interested members. Pat said he would thus setup a new training class.

Discussions were held regarding the lessons learned from the Hayman Fire. Four District 11 (BCARES) members assisted Douglas Country ARES and put in a total of about 100 hours of service.

JimK. announced that the next board meeting will be held on Tuesday, 23 July. Location will be the Boulder Police Dept. Time: 19:00 - 21:00 The main topic for discussion will be our MOUs. JimK. will distribute copies of our existing MOUs via e-mail to all board members after Dosha gets electronic versions of them, before the meeting. Also Response plans for floods and forest fires need to be reviewed. We have paper copies - anybody have electronic?
