BOARD of DIRECTORS MEETING MINUTES


Meeting Date: June, 10, 2002, 6:30 PM

Meeting Attendees: Jim-KG0HU, Pat-W0IPL, Doshia-W0NAS, Grant-W0GSK, Dale-KA0QPV, Steve-WB8VQI

Meeting Primary Purpose: Review of District 11 (BCARES) Bylaws

Meeting called to order by Jim at 6:35 PM
Doshia volunteered to be acting Secretary for the meeting.

  1. "Inc" in Bylaws title prompted discussion on the whereabouts of the Articles of Incorporation. Incorporation papers not found in file - need to locate. Also MOU for 1999 with OEM. Dale volunteered to investigate availability of Articles of Incorporation through the Office of the Colorado Secretary of State. Report expected at next meeting.

  2. Discussed the need for a Preamble in the Bylaws. Example Preamble was examined and discussed. Suggestion from Pat that the inclusion of a Preamble be reviewed from a legal standpoint. Concept of a Preamble to add context and clarification to the bylaws was generally accepted by the board but choice of a document for placement of a Preamble is to be reviewed. Dale volunteered to research and provide information and examples at the next meeting. A suggestion was made to contact Marshall Quiat or to review potential examples of his work or that of other lawyers for additional perspectives.

    Motion was made by Grant, 2nd by Pat, passed by a vote of the Board that the Preamble (as amended) be placed in the District 11 (BCARES) Bylaws before Article 1 (or as recommended by 'technical' advice) with the caveat that an investigation shows this as a legal thing to do.

  3. The board completed review of Bylaw Articles I through IV (with various editorial clarifications and modifications documented real time by Pat via laptop). Proposed modifications available on line for review by the board. Continued work by the Board required at the next board meeting to complete Bylaw review.

  4. Noted the need to address issues with District 11 (BCARES) Web pages, updating and on-line access. Dale volunteered to raise some of these issues with present Web custodian at next opportunity.

  5. Dale brought exhibit of District 11 (BCARES) activity for review and comment by the Board for use at Hamfests and other events. District 11 (BCARES) information tool. Photos and highlights featured.

  6. Next Board meeting planned for June 26th at 6:30 PM, location 33rd St Public Safety Communication Center.

  7. Meeting was adjourned at 9:30 PM.
