AMERICAN RED CROSS AMATEUR RADIO SERVICE CONSTITUTION
Preamble
We, the undersigned, being desirous to secure for ourselves the pleasures and benefits of the association of persons having common interest in amateur radio, by furthering better cooperation among its members, developing individual efficiency, furthering the interest of amateur radio in the general community, and volunteering our service to the American Red Cross , do hereby constitute ourselves The American Red Cross Amateur Radio Service (ARCARS) and do enact the constitution our governing law.
ARTICLE I (Membership)
Sec.1. All persons interested in amateur radio communications (defined as radio communications between amateur stations solely with a personal aim and without pecuniary interest), or any aspect thereof, and showing interest in and agreeing with the purposes of this organization as stated above, shall be eligible for membership.
Sec.2. The term of membership is twelve months and is renewable on or by the first regularly scheduled meeting in October.
ARTICLE II (Officers)
Sec.1. The officers of this club shall be: Program Manager, Assistant Program Manager, Secretary, and Finance Manager.
Sec.2. Only licensed radio amateurs shall be officers.
Sec.3. The officers of this club shall be elected for a term of one year by ballot of the members present, provided there be a quorum, at the meeting in October, the second Thursday, at 7:00 pm.
Sec.4. Vacancies occurring between elections must be filled by special elections at the first regular meeting following the withdrawal, resignation or removal.
Sec.5. Officers may be removed by a three-fourths vote of the membership, providing the general membership is notified of the removal vote.
ARTICLE III (Duties of Officers)
Sec.1. The Program Manager shall preside at all meetings of this club and conduct the same according to the rules adopted. He or she shall enforce due observance of this constitution and by-laws; decide all questions of order, sign all official documents that are adopted by the club, and none other, serve on the Management Committee, and perform all other customary duties pertaining to the office of the Program Manager. He or she is responsible to the board members of the Red Cross.
Sec.2. The Assistant Program Manager shall assume all the duties of the Program Manager in the absence of the latter.
Sec.3 The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit applications for membership, carry on all correspondence, read communications at each meeting, and is responsible for written meeting notices to each member, when required. He or she shall, at the expiration of his term, turn over all items belonging to the club to his successor.
Sec.4. The Finance Manager shall receive and receipt for all moneys paid to the club. He or she shall keep an accurate account of all moneys received and expended. He or she shall deposit all club funds with the Red Cross, who will in turn put them in the club account. All purchases shall be by a purchase order through the American Red Cross. At the end of each quarter he or she shall submit an itemized statement of disbursements and receipts. He or she shall, at the expiration of his term, turn over everything in his or her possession belonging to the club to his or her successor.
Sec.5. The Program Manager and Activities Chairman shall organize club member activities, plan and recommend contests for operating benefit, and advance club interest and activity as approved by the club. All activities must protect the reputation of the club and the Red Cross.
Sec.6. The Management Committee shall be comprised of the Program Manager and four other people elected by the general ARCARS membership.
Sec.7. The Management Committee shall have the authority to hear and decide the business of the club. The Management Committee shall prepare recommendations to the general membership for final decision on all matters of the club. The actions of the Management Committee are subject to the approval of the majority of the voting members present at the next general membership meeting.
Sec.8. Meetings of the Management Committee shall be every 90 days, or if necessary, in 10 days provided notice of the meeting has been mailed to the general membership. Three of the five members of the Management Committee must be present for a vote, or they may vote by proxy.
Sec.9. Members of the Management Committee may be removed by a three-fourths vote of the membership, providing the general membership is notified of the removal vote.
Sec.10.The Program Manager shall prepare a summary of actions of the Management Committee for publication to the general membership. The summary shall normally constitute the agenda for the next general membership meeting.
ARTICLE IV (Committees)
Sec.1. The Program Manager shall appoint one person to oversee each committee as they are required.
Sec.2. The Program Manager will appoint the Activities Chairman and chairman for other committees as required.
ARTICLE V (Meetings)
Sec.1. The constitution provides for regular and special meetings. All meetings are open to all members at all times.
Sec.2. Regular meetings will be held at 7:30 PM on the First Sunday of each month, unless otherwise notified, at a location designated by the program Manager. At meetings, one-third of the membership shall constitute a quorum for the transaction of business.
ARTICLE VI (Donations)
Sec.1. A customary minimum $10.00 annual membership donation is requested per immediate family each October.
Sec.2. All donations, including membership donations, must be designated for ARCARS.
ARTICLE VII (Voting)
All members of ARCARS may vote..
ARTICLE VIII (Rules)
Robert's Rules shall govern proceedings.
ARTICLE IX (Equipment)
Sec.1. All club equipment is the property of the American Red Cross unless otherwise stated and recorded.
Sec.2. Operation of club equipment will be done according to the published station rules, which will be available at the station at all times. All operators of the station are responsible for knowledge of and adherence to the rules and all applicable FCC rules and regulations.
ARTICLE X (Affiliations)
Sec.1. The club shall work closely with the American Red Cross. Members are considered volunteers in service to the American Red Cross.
Sec.2. The club shall become affiliated with the American Radio Relay League per provisions governed and promulgated by the ARRL.
ARTICLE XI (Amendments)
This constitution or by-laws may be amended by a 51% vote of the members present and voting at a meeting provided all members have been notified by written notification of the intent to amend the constitution or by-laws at a special meeting. Proposals for amendment shall by submitted in writing at a regular meeting and may not be voted on until the next regular meeting.
